“Members of the society are persons who are interested in the advancement of scientific psychology. The society membership consists of three classes of members: full member, student affiliate, and organizational.”

“The board of directors has a discussion at each annual meeting. The executive director and/or the deputy director must be provided with notice of potential conflicts of interest. They jointly decide whether the activity in question constitutes a conflict of interest. If it is decided that the activity in question conflicts with the interests of aps, the member will not be able to vote on the matter. If an employee is offered an opportunity for outside paid or unpaid work with or for an aps member or any organization, person, or entity whom he/she became acquainted during his/her employment with aps, or with any organization, person, or entity whose work is a potential conflict with the work done by aps, the employee provides the executive director or deputy director with notice before agreeing to take on this activity. The executive director or deputy director decides whether the activity in question constitutes a conflict of interest. If it is decided that the activity in question conflicts with the employee's employment at aps, the employee will not be able to continue as an employee of aps if he/she elects to pursue that activity.”

“The executive director's compensation is reviewed and determined by the board of directors. The process includes salary comparisons to other organizations similar to aps and takes into consideration the financial status of aps. The procedure is documented in writing to the president. The last salary review was completed in november 2020.”

“In april 2020, the association received loan proceeds in the amount of $561,500 under the paycheck protection program. The promissory note calls for monthly principal and interest payments amortized over the term of the promissory note with a deferral of payments for the first six months. Under the coronavirus aid, relief, and economic security act (cares act), the promissory note may be forgiven by the small business administration in whole or in part. The association used the proceeds for purposes consistent with the paycheck protection program and met the conditions for forgiveness of the loan. The loan was fully forgiven during january 2021, and the association recorded revenue from debt extinguishment during the period that forgiveness was approved.”
