“The board of directors has a discussion at the annual meeting each year. The executive director and/or the deputy director must be provided with notice of potential conflicts of interest. They decide whether the activity in question constitutes a conflict of interest. If it is decided that the activity in question conflicts with the interests of aps, the member will not be able to vote on the matter. If an employee is offered an opportunity for outside paid or unpaid work with or for an aps member or any organization, person, or entity whom he/she became acquainted during his/her employment with aps, or with any organization, person, or entity whose work is a potential conflict with the work done by aps, the employee provides the executive director or deputy director with notice before agreeing to take on this activity. The executive director or deputy director decides whether the activity in question constitutes a conflict of interest. If it is decided that the activity in question conflicts with the employee's employment at aps, the employee will not be able to continue as an employee of aps if he/she elects to pursue that activity.”
