Pt VI, Line 12C

All new board members are required to read and sign acknowledgement of the organizations conflict-of-interest policy and annually complete a questionnaire outlining actual or potential conflicts.

Pt VI, Line 15A

Compensation for the organizations chief executive is recommended to the executive committee of the board of directors by the hr committee chair. The hr committee chair performs a biannual compensation benchmark review for the ceo position and will attempt to align with the 100% midpoint and 90% - 110% salary range. If that is not feasible based on the volatility of the ceo benchmark data and the unique duties of the allied arts ceo role compared to other nonprofits, the hr committee chair will design the salary range and request approval from the executive committee. A performance review is conducted annually based on benchmarks established at the beginning of the fiscal year.
