“The chairman of the board will annually appoint a nominating committee composed of 3 members of the organization who are currently serving on the board of directors. The nominating committee, not less than 90 days prior to the organization's fiscal year-end, shall nominate one candidate to fill the position of each director whose term is expiring. The nominations are announced to all members of the organization 60 days prior to year-end. A form is made available at the principal office of the organization for write-in nominations. Write-in nominations require the affirmation of three members of the organization in order to be placed on the ballot. Ballots are required to be mailed to all members of the corporation.”
“The amended and restated by-laws of the organization reserve the power to amend the by-laws to the membership of the organization. The procedure required to amend by-laws begins with the initiation of the proposed amendment by the board of directors. At the next meeting of the board of directors, subsequent to the meeting at which the proposed amendments were presented, such amendments must receive the affirmative vote of the majority of the directors. “The completed 990 is transmitted electronically to the foundation's board of directors. A conference call is scheduled to review the document with the ceo and the foundation's independent accountants available to answer questions of the trustees. The document is reviewed in the sequence recommended for preparation of the form 990 in order to thoroughly disclose all information reported on this form.”
“The organization has a written conflict of interest policy which serves to assist directors, officers and key employees of the organization to identify situations that present potential conflicts of interest and to provide a procedure which will allow a transaction which is in the best interest of the corporation to be binding even though a director, officer, or employee may have a conflict of interest in respect to that transaction. The policy is distributed annually at the first meeting of the board of directors following the beginning of the organization's fiscal year. The policy is reviewed during that meeting. An absence of a declaration of a conflict of interest at that time does not preclude the later announcement of a conflict of interest which is determined by a director, officer or key employee during the meeting.”
“The most recent compensation review of the foundation's ceo was completed in september 2013 by the compensation committee. The compensation committee is composed of members of the executive committee plus additional members of the board of directors who are invited by the chairman due to specialized knowledge. All members of the compensation committee are independent members of the governing body. The committee determines, based on budgetary considerations, whether an adjustment in compensation will be considered for the year. If the decision is affirmative, the committee reviews data from the council on foundations annual salary survey which compiles salary and benefit information from more than 800 foundations nationwide, stratifying it geographically, by asset size, and many other variables. The committee compares the organization's current salary for the ceo to the median salary of similarly located, like-sized foundations and discusses whether an adjustment in compensation is warranted. The discussion and subsequent decision is documented by the chairman and the conclusions of the committee presented to the ceo in a follow-up meeting.”

THE FOUNDATION CO-SPONSORS WITH THE POST GRADUATE TRAINING PROGRAMS AT OSU MEDICAL CENTER A SERIES OF PROGRAMS ON PRACTICE MANAGEMENT AND THE BUSINESS OF MEDICINE WHICH ARE PRESENTED BI-MONTHLY AND REACH MORE THAN ONE HUNDRED OSTEOPATHIC MEDICAL STUDENTS AND YOUNG PHYSICIANS AT EACH PROGRAM. FIFTEEN EDUCATIONAL STIPENDS ASSISTING WITH THE COSTS OF REQUIRED CONFERENCES, COURSES, AND OUT-ROTATIONS ARE GRANTED ON A COMPETITIVE BASIS TO OSTEOPATHIC RESIDENTS AND FELLOWS ENROLLED IN AOA OR ACGME ACCREDITED POSTGRADUATE TRAINING PROGRAMS. THOSE RESIDENTS TRAINING AT OSU MEDICAL CENTER ARE ALSO THE BENEFICIARIES OF A TEXTBOOK SCHOLARSHIP PROGRAM WHICH SUPPORTS THE DIDACTIC ACTIVITIES OF THE RESIDENCY TRAINING PROGRAMS THROUGH THE PURCHASE OF TEXTBOOKS USED IN CLINICAL TRAINING. THE FOUNDATION'S COMMITMENT TO MEDICAL EDUCATION REACHES TO THE POST-DOCTORAL LEVEL THROUGH OUR PROGRAMS OF CONTINUING MEDICAL EDUCATION. THE CME MISSION OF THE OSTEOPATHIC FOUNDERS FOUNDATION IS TO CONTINUALLY IMPROVE PATIENT CARE BY PROVIDING TIMELY, RELEVANT, EVIDENCE BASED CLINICAL KNOWLEDGE TO OSTEOPATHIC PHYSICIANS AND OTHER HEALTHCARE PROVIDERS. IN 2009 THE FOUNDATION RECEIVED ITS INITIAL ACCREDITATION FROM THE AMERICAN OSTEOPATHIC ASSOCIATION AS A CATEGORY 1-A PROVIDER. THAT ACCREDITATION WAS RENEWED, WITH DISTINCTION, IN 2013 AND 2016. IN 2017, 21 QUALIFYING PROFESSIONAL DEVELOPMENT PROGRAMS WERE OFFERED IN INTERNAL MEDICINE, ULTRASONOGRAPHY, PAIN MANAGEMENT, ONCOLOGY,TRAUMA, PSYCHIATRY, ADDICTION, AND HEALTH POLICY AND HEALTHCARE FINANCE WHICH TRAINED OVER 1200 HEALTH CARE PROFESSIONALS. THE FOUNDATION HAS DEVELOPED PARTNERSHIP WITH OUR COLLEAGUES IN ALLOPATHIC CONTINUING EDUCATION TO PROMOTE THE JOINT TRAINING OF DO'S AND MD'S. IN RESPONSE TO OKLAHOMA'S CRISIS OF PRESCRIPTION DRUG ABUSE, THE FOUNDATION PRESENTED EIGHTEEN CME PROGRAMS IN FIVE OKLAHOMA COMMUNITIES WHICH TRAINED NEARLY 900 OSTEOPATHIC AND ALLOPATHIC PHYSICIANS IN THE PROPER PRESCRIBING OF CONTROLLED DANGEROUS DRUGS. WE WERE ABLE TO PRESENT, FOR THE FIRST TIME, THE PCSS WAIVER TRAINING WHICH ALLOWS PHYSICIANS THE OPPORTUNITY TO QUALIFY TO PROVIDE MEDICATION ASSISTED TREATMENT TO THE PATIENTS SUFFERING FROM OPIOID USE DISORDER. WE ARE PROUD TO SAY THAT OUR COMMITMENT TO MEDICAL EDUCATION SERVES THE CONTINUUM FROM MEDICAL SCHOOL THROUGH MEDICAL PRACTICE. |

SINCE THE SALE OF OUR HOSPITAL IN 1996, THE FOUNDATION'S TRUSTEES HAVE FOCUSED ON UTILIZING OUR RESOURCES IN A MANNER CONSISTENT WITH THE FOUNDER'S ORIGINAL INTENT. GRANTS ARE AWARDED TO COMMUNITY ORGANIZATIONS WHO SHARE IN OUR MISSION OF PROVIDING CARE TO THE UNDERSERVED AND IN THE PREVENTION AND TREATMENT OF DISEASE. WITH THE SIGNIFICANT HEALTH DISPARITIES EXISTING WITHIN OKLAHOMA COMMUNITIES, PARTICULAR EMPHASIS IS GIVEN TO THE MOST BASIC NEEDS OF FOOD, SAFETY AND SHELTER. OKLAHOMA'S POOR RATINGS FOR HEALTH OF OUR CITIZENS DEMANDS THAT MANY OF OUR RESOURCES BE DIRECTED TO THE PROVISION OF PRIMARY HEALTH SERVICES. JUST A FEW EXAMPLES OF OUR GIVING: IN 2017; HOPE(HEALTH OUTREACH PREVENTION EDUCATION) RECEIVED A $25,000 GRANT TO CONTINUE TESTING AND REFERRAL TO TREATMENT SERVICES IN THEIR SPECIALLY EQUIPPED VAN WHICH TRAVELS TO RURAL LOCATIONS THROUGHOUT NORTHEAST OKLAHOMA PROVIDING INFORMATION TO PATIENTS WHO ARE AT RISK FOR HIV, HEP C, AND STI'S. THE TULSA COMMUNITY FOOD BANK, WHICH DISTRIBUTES 24.7 MILLION POUNDS OF FOOD TO 450 PARTNER AGENCIES RECEIVED A GRANT OF $10,000 TO HELP FEED THE NEARLY ONE IN SIX OKLAHOMANS WHO STRUGGLE WITH HUNGER EVERY DAY. THIS GRANT WILL SUPPORT THE PURCHASE OF NEARLY 50,000 POUNDS OF FRESH PRODUCE TO IMPROVE THE NUTRITIONAL VALUE OF THEIR DONATED MEALS. GOOD SAMARITAN HEALTH SERVICES PROVIDES 54 CLINICS AT 14 LOCATIONS EVERY MONTH IN THEIR SPECIALLY EQUIPPED MOBILE UNIT. THE GRANT FROM THE FOUNDATION WILL SUPPORT THEIR DIABETIC RETINOPATHY SCREENING SERVICES WHICH WILL PREVENT BLINDNESS IN THEIR DIABETIC PATIENTS. A TOTAL OF TWENTY SIX COMMUNITY ORGANIZATIONS RECEIVED FUNDING FROM THE OSTEOPATHIC FOUNDERS FOUNDATION IN 2017. THE FOUNDATION IS VERY PROUD OF THESE, AND OTHER, INVESTMENTS WE HAVE MADE IN THE TULSA AND NORTHEAST OKLAHOMA COMMUNITIES. VAN WHICH TRAVELS TO RURAL LOCATIONS WITH THE $7,500 FUNDING PROVIDED BY THE FOUNDATION. OUR COMMITMENT TO QUALITY END OF LIFE CARE WAS DEMONSTRATED WITH A GRANT TO HOSPICE OF GREEN COUNTRY FOR THEIR COURTESY CARE PROGRAM. THE TULSA COUNTY MEDICAL SOCIETY FOUNDATION WAS SUPPORTED WITH A $7,500 GRANT TO ASSIST WITH THEIR TULSA CHARITABLE MEDICAL SERVICES PROGRAM WHICH MATCHES UNINSURED PATIENTS WITH VOLUNTEER PHYSICIANS WILLING TO DONATE SERVICES. THE FOUNDATION IS VERY PROUD OF THESE, AND OTHER, INVESTMENTS WE HAVE MADE IN THE TULSA AND NORTHEAST OKLAHOMA COMMUNITIES. |

EACH MINUTE, MORE THAN ONE PERSON IN THE UNITED STATES DIES FROM A HEART DISEASE-RELATED EVENT. FEWER THAN 12% OF PATIENTS WHO EXPERIENCE ON OUT OF HOSPITAL CARDIAC ARREST WILL SURVIVE WITHOUT BYSTANDER INITIATED CPR. A PUBLIC HEALTH ISSUE, THE FOUNDATION HAS CHOSEN TO ADDRESS THE NEED FOR CONTINUED TRAINING OF HEALTH PROFESSIONALS BY ESTABLISHING AN EMERGENCY CARDIOVASCULAR CARE TRAINING SITE ACCREDITED BY THE AMERICAN HEART ASSOCIATION. TRAINING IN ADVANCED CARDIOVASCULAR LIFE SUPPORT, PEDIATRIC ADVANCED LIFE SUPPORT, AND BASIC LIFE SUPPORT FOR HEALTHCARE PROVIDERS IS OFFERED FOR PHYSICIANS AND OTHER HEALTHCARE PROFESSIONALS. THE NEONATAL RESUSCITATION PROGRAM WHICH IS JOINTLY ACCREDITED BY THE AHA AND THE AMERICAN ACADEMY OF PEDIATRICS IS ALSO PART OF OUR SUITE OF TRAINING SERVICES. OVER 350 PROFESSIONALSRECEIVED CERTIFICATION IN THESE DISCIPLINES THROUGH OUR SITE IN 2017. WE ALSO PLACE AN EMPHASIS ON PROVIDING TRAINING IN THE BASICSKILLS OF CARDIOPULMONARY RESUSCITATION TO THE LAY COMMUNITY THROUGH THE FRIENDS AND FAMILY PROGRAM. KIDS CPR, PROVIDES FREE INSTRUCTION TO CHILDREN AGES 10 - 16 IN BASIC LIFE SUPPORT DURING SCHOOL BREAKS. IN 2017 THE FOUNDATION PROVIDED THREE SESSIONS WHICH WERE FILLED TO CAPACITY. SENIOR CPR PROVIDES NO-COST INSTRUCTION TO CITIZENS 60 AND OVER IN A SPECIALLY PACED CLASS WHICH MEETS THE PHYSICAL NEED OF OLDER ADULTS. TO IMPROVE THE SAFETY OF VISITORS TOTULSA, TRAINING IN CPR, AED, AND FIRST AID WAS PROVIDED TO EMPLOYEES OF THE TULSA ZOO AS WELL AS THE STAFF OF THE GIRL SCOUTS OF AMERICA. |
