At the beginning of every fiscal year, all board members are provided with the conflict of interest policy and are required to sign a form that they have read and adhered to the policy.

Once annually the personnel committee meets to review staff compensation. During that time, comparable salaries are discussed both for the executive and all staff. Comparable salaries are drawn from literature developed by the louisiana association of nonprofit organizations, from reports from national organizations such as opportunity knocks, and from conversations with other like nonprofits in the new orleans area.

The reserve fund is to serve as contingency to cover a shortage of cash flow caused by exceptional unbudgeted expenses, loss of predicted funding, or unforeseen opportunity.

PART X, LINE 2:

Kid smart and subsidiary adopted the provisions of fasb asc 740, accounting for uncertainty in income taxes. Management of kid smart and subsidiary believe there is no material uncertain tax position and, accordingly it will not recognize any liability for unrecognized tax benefits. With few exceptions, the kid smart and subsidiary are not subject to u.s. Federal and state income tax examinations by tax authorities beyond three years from the filing of those returns.
