Mission

To facilitate registration and voting among historically underrepresented populations through nonpartisan programs, to enforce state and federal voting rights laws, and to conduct research on, disseminate, and advocate for election policy best practices.

Project vote works to increase voter registration and participation by underrepresented citizens.

Governance Explanations

Form 990, Part VI, Section B, Line 11

Project vote's accountants prepare the federal form 990. The draft version of the federal form 990 is then reviewed by project vote's outside 501(c)(3) counsel and the president and executive director. Any questions or corrections they have are directed to the tax return's preparer. A second version of the draft federal form 990 is prepared. The process repeats itself until both counsel and the president and executive director are satisfied with the filing. The final draft of the federal form 990 is distributed to members of the board of directors and they are provided with an opportunity to ask questions and comment. The federal form 990 is then filed with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

Project vote's board of directors adopted a formal conflict of interest policy in august 2008 by a unanimous vote of all directors. The board of director's assistant secretary and general counsel leads the board of directors through an annual review of the conflict of interest policy and other key governance policies. At its core, the conflict of interest policy is meant to be self-policing, relying on board members to disclose when they have a conflict or appearance of a conflict. The president, board chair, counsel, or other board members have reminded the board of directors of the conflict of interest policy in situations where, based on their knowledge, such a reminder appears to be prudent.

Form 990, Part VI, Section B, Line 15A

Project vote's board of directors receives no compensation for their services. The board of directors sets the president's salary, which occurred most recently in 2015. To accomplish this, the board of directors appointed a temporary task force of three board members to assess the president, examine salaries at comparable organizations, assess the organization's financial resources and compensation culture, and bring a recommendation to the full board of directors. The full board of directors met in an executive session, discussed the task force's recommendation, and voted on a specific salary. Contemporaneous minutes were recorded.
