Governance Explanations

Form 990, Part VI, Section B, line 11

Project Vote's accountants prepare a draft of the Form 990, which is then reviewed by Project Vote's outside 501(c)(3) Counsel and the Executive Director. Any questions or corrections they have are directed to the return's preparer. A second version is prepared. The process repeats itself until both Counsel and the Executive Director are satisfied with the filing. The draft Form 990 is distributed to members of the Board of Directors and they are provided with an opportunity to ask questions and comment. The federal Form 990 is then filed with the Internal Revenue Service.

Form 990, Part VI, Section B, line 12C

Project Vote's Board of Directors adopted a formal conflict of interest policy in August 2008 by a unanimous vote of all Directors. The Board of Director's Assistant Secretary and Attorney leads the Board of Directors through an annual review of the conflict of interest policy and other key governance policies. At its core, the conflict of interest policy is meant to be self-policing, relying on Board Members to disclose when they have a conflict or appearance of a conflict. The Executive Director, Board President, Counsel, or other Board Members have reminded the Board of Directors of the conflict of interest policy in situations where, based on their knowledge, such a reminder appears to be prudent.

Form 990, Part VI, Section B, line 15

Project Vote's Board of Directors receives no compensation for their services. The Board of Directors sets the Executive Director's salary, which occurred most recently in March 2013. To accomplish this, the Board of Directors appointed a temporary task force of three Board Members to assess the Executive Director, examine salaries at comparable organizations, assess the organization's financial resources and compensation culture, and bring a recommendation to the full Board of Directors. The full Board of Directors met in an Executive Session, discussed the Task Force's recommendation, and voted on a specific salary. Contemporaneous minutes were recorded.

Project Vote complies with applicable rules requiring that it make its federal Form 990 tax return and related schedules available to the public for inspection. Project Vote does not make its governing documents, conflict of interest policy, and financial statements available to the public.

IRS990/Desc0The Public Agency Registration Project: The Public Agency Registration Project (the Project) seeks to enforce Section 7 National Voter Registration Act (NVRA) of 1993 through technical assistance, advocacy, and litigation. In 2013, the Project worked to increase NVRA compliance by: negotiating with officials in Alabama; litigating cases in Louisiana, Massachusetts, and Nevada; surveying current compliance levels and negotiation with officials in New Jersey; surveying agencies and preparing for negotiations or litigation in South Carolina; and monitoring compliance agreements previously achieved in Colorado, Indiana, Missouri, Ohio, New Mexico, Washington, and elsewhere. Also, in 2013 the Project began working to ensure that the Health Benefit Exchanges created by the Affordable Care Act are compliant with the NVRA and offering voter registration assistance to eligible citizens.

Any questions or corrections they have are directed to the return's preparer. A second version is prepared. The process repeats itself until both Counsel and the Executive Director are satisfied with the filing. The draft Form 990 is distributed to members of the Board of Directors and they are provided with an opportunity to ask questions and comment. The federal Form 990 is then filed with the Internal Revenue Service.

The Board of Director's Assistant Secretary and Attorney leads the Board of Directors through an annual review of the conflict of interest policy and other key governance policies. At its core, the conflict of interest policy is meant to be self-policing, relying on Board Members to disclose when they have a conflict or appearance of a conflict. The Executive Director, Board President, Counsel, or other Board Members have reminded the Board of Directors of the conflict of interest policy in situations where, based on their knowledge, such a reminder appears to be prudent.
