“The finance committee of the board of directors reviews the form 990 prior to filing as part of a regularly scheduled or special called committee meeting.”

“If there is a conflict of interest for example with a board member and one of Big Buddy's venders that we paid over 1% of our revenues to, it is handled on a case by case basis among the Board of Directors. All board members were required to disclose any relationships they have with the vendor names provided and the nature of the relationship.This policy will be renewed and adopted each year and disclosure of any relationships by board members with the designated Big Buddy vendors will be required to be disclosed on a yearly basis.”

“TheProgram& Personel Committtee performs an evaluation of the executive director. The Committee uses a printed document to evaluate and the score the executive director's performance. The results of the individual evaluations by the Committee members are compiled by the Committee chair and presented to the Committee for their consideration in formulating a recommendation to the full board of directors. The results of the evaluation, combined with researchon salaries of other executive directors of area non-profits are used by the Committee to recommend changes in compensation for the executive director. Changes to the executive director's compensation are approved by the board of directors in a regularly scheduled board meeting.”
