“The white river health system (wrhs) has established a compensation philosophy which reflects its charitable, tax-exempt mission. The wrhs compensation committee may engage outside independent compensation data from other similarly situated organizations. Documentation with regard to the basis for the compensation recommendations shall include, without limitation, the members of the wrhs compensation committee who were present and who voted for the recommendation; the comparability data obtained and relied upon by wrhs and how the data was obtained; and any actions taken with respect to the recommendation by anyone who had a conflict of interest with respect to the recommendation.
