“The white river health system ("wrhs") has established a compensation philosophy which reflects its charitable, tax-exempt mission. The wrhs compensation committee may engage outside independent compensation data from other similarly situated organizations. Documentation with regard to the basis for the compensation recommendations shall include, without limitation, the members of the wrhs compensation committee who were present and who voted for the recommendation; the comparabiltiy data obtained and relied upon by wrhs and how the data was obtained; and any actions taken with respect to the recommendation by anyone who had a conflict of interest with respect to the recommendation. The wrhs compensation committee shall meet periodically outside of the presence of any senior executive officer. It shall be responsible for making recommendation regarding the compensation and benefit arrangements provdied to senior executive management of wrhs. Following the receipt of a recommendation from an independent consultant with an expertise in managerial compensation, the total compensation for the ceo shall be approved by the wrhs compensation committee and the wrhs board of directors. The wrhs compensation committee and board of directors shall assure the executive compensation is reasonable and consistent with market practice. The wrhs compensation committee shall consist of persons who are knowledgeable in compensation matters and who have no financial interest in the compensation determination.”
