Form 990, Part III, Line 3: Ceased Conducting or Significant Changes To Services

In August 2017, the Board of Directors voted to approve a plan to dissolve the Organization and transfer its properties to Eden Vacaville Housing, Inc., a California nonprofit public benefit organization. As part of this process, certain properties were sold to Meadows Holly Partners LP, a California Limited Partnership, on August 22, 2017, and Transfer Agreements (the Agreements) for the remaining properties were formerly entered into on Mach 28, 2018, with Eden VCH LLC, a California Limited Liability Company. The Agreements specify that all existing debt is to be assumed by Eden VCH LLC as consideration for the transfer of the properties. The lenders have approved the assignment and assumption of the existing debt. Subsequent to year end, the remaining properties were transferred to Eden VCH LLC on October 19, 2018.

The Organization recognizes the financial statement effects from a tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities based on the technical merits of the position.
