Mission and Program Overview

Mission

To protect, preserve and enhance the natural and cultural resources, including agricultural and scenic resources, on both sides of the ohio river between westport and west point, kentucky, for the benefit of the public. This mission guides the three main programs which are land conservation, education and advocacy. River fields preserved almost 2,200 acres forever in jefferson, oldham and shelby county, the majority which is farmland.

To protect, preserve and enhance the natural and cultural resources, including agricultural and scenic resources, on both sides of the ohio river between westport and west point, kentucky, for the benefit of the public. We accomplish this mission through a three pronged programmatic approach of land conservation, advocacy and education. River fields started as an advocacy group. In 1986, it began land aquisition with the intent to protect and manage the land for the benefit of the public. In 1996, it began another conservation initiative through conservation easements. Additionally, the protection of historic resources takes place in partnership with the ky heritage council. Advocacy is a program that uses many tools in protecting the places people love and can access. The education program educates interested citizens about resources, threats and the many tools that are available to protect important resources and the places people love.

Governance Explanations

Form 990, Part VI, Section B, Line 11B

The 990 is prepared by the organization's accounting firm from information provided by the executive director. Once the form 990 is prepared it is reviewed in detail by the treasurer and the executive director.

Form 990, Part VI, Section B, Line 12C

The board of trustees reviews annually and discusses the conflict of interest policy. Each trustee is required to sign the policy annually and submit it to the governance committee chairman. Additionally, this policy is discussed in governance committee meetings. If a trustee knows of a conflict, this conflict is brought to the attention of the chairman, executive director and governance chairman. At that time the trustee is advised concerning appropriate actions, the conflict is discussed specifically at the governance committee and if necessary, at the board level. It has been regular practice for trustees to be required to both write letters stating their conflict and to leave the room, and certainly not to vote if the subject of the conflict is discussed or if there is a vote concerning the issue.

Form 990, Part VI, Section B, Line 15

The executive director's salary was established based on a board review by an independent professional salary and benefits firm which used national comparability data and contemporaneous substantiation of the deliberation and the decision. The only changes in salary since that process has been an increase in some years, not in all years, based on only cost of living adjustments. No other directors, officers, or key employees are paid.

Form 990, Part VI, Section C, Line 19

The articles are available to anyone from the kentucky secretary of state's office. The original bylaws are similarly available but amended and restated bylaws are not. The organization has no constitution. Its financial statements are not made available to the general public. The conflict of interest policy is made available upon request.

Supplemental Narrative

Financial Statement Notes

PART II, LINE 5:

The river fields board adopted the land trust alliance's land trust standards and practices published in 2004. Those standards require: 1. Annual monitoring of easements. 2. Inspection and monitoring that is carefully coordinated with the baseline documentation and the easement itself. 3. Written documentation of this annual monitoring that is executed and retained in the organization's files. 4. A written report that is sent to the landowner. 5. Follow-up on any violations until they are resolved. 6. Legal action on violations if necessary. River fields follows these guidelines without exception. Violations are taken very seriously. Additionally, if violations are not quickly resolved, the land conservation committee of the board of trustees and then the board is briefed about the violation. They discuss and agree on strategies to resolve it or vote to move to litigation. Both groups receive updates until resolution takes place. The organization's attorney is involved with any violations in every step of the process. The president and ceo is integrally involved in unresolved violations.

PART II, LINE 9:

Conservation easements do not provide forseeable future cash flow benefits thus the organization does not assign an asset value to them.

PART V, LINE 4:

To provide a predictable stream of funding to programs supported by its endowment while seeking to maintain the preservation of and growth of the endowment assets. An additional goal is that these assets balance the short-term funding needs with the preservation and growth of real (inflated-adjusted) value of funds' assets.

IRS990/ProgSrvcAccomActy2Grp/Desc0EDUCATION - ENCOURAGE AND EMPOWER ALL CITIZENS TO PROTECT THE RIVER AND ITS SURROUNDING LANDS. OUR LARGEST EMAIL LIST ALLOWS US TO COMMUNICATE WITH ANY PERSON WHO SIGNS UP. WE SEND OUT EDUCATIONAL INFORMATION, ALERTS ABOUT PUBLIC MEETINGS AND CRITICAL ISSUES THAT IMPACT THE OHIO RIVER CORRIDOR. WE ACCEPT EVERY OPPORTUNITY TO TRAIN AND EDUCATE THE PUBLIC, NEIGHBORHOODS, AND PROFESSIONAL ADVISORS TO LANDOWNERS. WE OFFER ANNUAL EDUCATIONAL EVENTS ON PROTECTED LANDS, ALWAYS LED BY A PROFESSIONAL. RIVER FIELDS WORKS CLOSELY WITH ITS MEMBERS, GOVERNMENTAL AGENCIES, CIVIC ORGANIZATIONS AND NEWS MEDIA TO STRENGTHEN THE COMMUNITY INVOLVEMENT AND KNOWLEDGE ABOUT ENVIRONMENTAL ISSUES AND OTHER IMPORTANT TOPICS. WE TRAIN REGIONAL CITIZENS AND LEADERS ON THE LEGAL AND PROFESSIONAL OPERATIONAL ELEMENTS OF LAND CONSERVATION. WE ARE PARTICULARLY ADEPT AT EDUCATING CITIZENS ABOUT THE FEDERAL LAW, SECTION 106 WHICH HELPS STAKEHOLDERS REDUCE, AND MITIGATE NEGATIVE IMPACTS ON HISTORIC PROPERTIES FROM A FEDERAL UNDERTAKING.

IRS990/ProgSrvcAccomActy3Grp/Desc0ADVOCACY - SEEK CREATIVE SOLUTIONS THAT PROMOTE PROTECTION OF NATURAL AND HISTORIC RESOURCES, PROTECTION AND ENHANCEMENT OF OPEN SPACES, PROMOTION OF PLANNED DEVELOPMENT AND GROWTH MANAGEMENT, GREATER PUBLIC ACCESS, THE ENHANCEMENT OF SCENIC VIEWS, RATIONAL TRANSPORTATION DECISIONS AND GOOD URBAN DESIGN. WE ARE PROUD OF OUR REPUTATION AS A WILLING NEGOTIATOR IN EFFORTS TO PROMOTE HISTORIC PRESERVATION, CONSERVED AREAS, ENVIRONMENTALLY SENSITIVE LAND AND WATER USE. WE ALWAYS WORK TOWARD THE PROTECTION OF NATURAL AND CULTURAL RESOURCES, CLEAN AIR AND WATER, AND THE PROTECTION OF ESTABLISHED NEIGHBORHOODS. SINCE 2017, THE NEIGHBORHOOD PLAN FOR A VERY IMPORTANT HISTORIC AFRICAN AMERICAN NEIGHBORHOOD HAS BEEN AN ADVOCACY PRIORITY. RIVER FIELDS FUNDED THE WORK OF THE CENTER FOR NEIGHBORHOODS, ANOTHER PARTNER. AS I WRITE THIS IN 2020 THE NEIGHBORHOOD PLAN IS ABOUT TO BE APPROVED BY THE LOUSIVILLE METRO COUNCIL. THE ADVOCACY PROGRAM COVERS DECISIONS FROM COUNTLESS LOCAL, STATE AND FEDERAL AGENCIES. IN METRO LOUISVILLE, MONITORING AND ADVOCACY TAKES PLACE FOR PROPOSALS IN THE OHIO RIVER CORRIDOR THAT COME BEFORE THE PLANNING COMMISSION, BOARD OF ZONING ADJUSTMENT, DEPARTMENT OF PUBLIC WORKS AND THE METROPOLITAN SEWER DISTRICT, TO NAME A FEW. IN THE COMMONWEALTH OF KY, MONITORING AND ADVOCACY CONCERNING OHIO RIVER CORRIDOR PROJECTS RELATE TO THE TRANSPORTATION CABINET, THE DIVISION OF WATER, THE DIVISION OF WASTE MANAGEMENT AND ANY PROPOSED PROJECTS AT THE LEGISLATIVE LEVEL. INFRASCTRUCTURE PROJECTS SUCH AS ROADS, BRIDGES AND DAMS ARE CAREFULLY ASSESSED. A VARIETY OF TOOLS ARE USED IN ALL THESE AREAS.
