Governance Explanations

Form 990, Page 6, Part VI, Line 11B

Once the 990 is received from the accountant it is emailed to all board members. They are asked to review and suggest any corrections/additions and email them back to hte executive director. The executive director reviews the 990 as well and formulates corrections/additions if any were made by the board members and emails them to the accountant. The corrections/additions are then discussed between the executive director and the accountant. The corrected 990 is then resubmitted to the executive director for final review and signature.

Form 990, Page 6, Part VI, Line 12C

The conflict of interest policy requires directors, officers and key employees to annually review the policy and complete a disclosure form identifying any related parties or financial relationships that could potentially be in conflict with st vincent's mission's interest. The annual disclosure is referenced in the minutes of the board, and the individual statements are maintained by the director.

Form 990, Page 6, Part VI, Line 15A

The executive director completes an annual self-evaluation which is submitted to the board who reviews the document in detail before approving a salary increase. Salary increases for all employees are reviewed and approved by the board as part of the budget process.

Form 990, Page 6, Part VI, Line 19

Form 990 and 1023 are available for public inspection upon request. The annual form 990 is available on the organization's website - stvincentmission.org. Policies and procedures are rviewed by the board of directors and applicable policies are submitted with form 990 in the year of adoption. Interim financial statementsand annual budgets and financial statements are submitted for board review.
