Governance Explanations

Form 990 is first reviewed by the executive director, treasurer and finance committee. The form is then distributed to the full board of directors for review and comment prior to filing.

Form 990, Part VI, Section B, Line 12C

Any director, principal officer, or member of a committee with governing board delegated powers, who has a direct or indirect financial interest, must disclose the existence of the actual or possible financial interest immediately upon discovery. Procedures for addressing the conflict are documented in the minutes. The minutes shall contain: (a) the names of the persons who disclosed or otherwise were found to have a financial interest in connection with an actual or possible conflict of interest, the nature of the financial interest, any action taken to determine whether a conflict of interst was present, and the decision as to whether a conflict of interest in fact existed; and (b) the names of the persons who were present for discussions and votes relating to the transaction or arrangement, the content of the discussion, including any alternatives to the proposed transaction or arrangement, and a record of any votes taken in connection with the proceedings. The conflict of interest policy is reviewed annually with all interested persons.

Form 990, Part VI, Section B, Line 15

The executive director's compensation is reviewed and approved by the board of directors. The process includes approval by persons without a conflict of interest, use of comparability data, and recording compensation deliberations. Relevant information may include, but is not limited to, compensation levels paid by similarly situated organizations for functionally comparable positions, the availability of similar services in the geographic area of the organization, current compensation surveys compiled by independent firms, and actual written offers from similar institutions competing for the services of the compensated person. Review and approval is promptly recorded in the minutes and contain: (a) the terms of the compensation and date approved; (b) the names of the members who were present and voted on the compensation; (c) the comparability data obtained and relied upon, and how it was obtained; (d) any action taken with respect to consideration of the compensation by a member who had a conflict of interest with respect to the compensation; and (e) if the reasonable compensation is higher or lower than the range of comparability data obtained, and the basis for the decision. The current salary of our executive director has been found to be in the mid-range of researched salaries.

FORM 990, PART XII, LINE 1 - CHANGE IN ACCOUNTING METHOD:

During 2013, the organization changed from the cash method to the accrual method of accounting and had reviewed financial statements prepared for the first time. As a result of the change in accounting method, opening net assets were adjusted to account for prior year expenses paid during 2013. See part xi, line 9. The adjustment is comprised of legal fees of $5,827 and employer 403(b) match of $11,380.

PART X, LINE 2:

The organization has been recognized by the internal revenue service as a tax-exempt organization under section 501(c)(3) of the internal revenue code. Income earned in furtherance of the organization's tax-exempt purpose is exempt from federal and state income taxes. The organization is treated as a publically supported organization, and not as a private foundation. The organization has adopted the provisions of asc topic 740 accounting for uncertainty in income taxes and does not believe it has any material income tax exposure relating to uncertain tax positions. The organization's open examination periods are from 2010 through 2013.

OUR GOAL IS TO IMPROVE FLORIDA'S NATIONAL AND INTERNATIONAL REPUTATION AS A WELCOMING AND INCLUSIVE PLACE TO LIVE, WORK AND VISIT. WE ALSO LAUNCHED ANOTHER BUSINESS FOR EQUALITY (AB4E.COM) TO PROVIDE FLORIDA-BASED BUSINESSES A WAY TO SHOW THEIR SUPPORT FOR DIVERSITY AND SPECIFICALLY FOR LGBT NONDISCRIMINATION. 2 - MARRIAGE EQUALITY: FLORIDA IS AT A CRITICAL TIME IN THE EFFORT TO SECURE MARRIAGE EQUALITY FOR SAME-SEX COUPLES AS OUR NATION CONTINUES A STEADY MARCH TOWARD FULL MARRIAGE EQUALITY. IMMEDIATELY FOLLOWING THE SUPREME COURT DECISION STRIKING DOWN A KEY PROVISION OF DOMA, EQUALITY FLORIDA LAUNCHED THE GETENGAGED.ORG CAMPAIGN TO BRING MARRIAGE EQUALITY TO FLORIDA. TOGETHER WITH NCLR AND OTHER NATIONAL PARTNERS, WE SCREENED OVER 1,100 POTENTIAL PLAINTIFFS AND ON JANUARY 21, 2014, FILED THE LAWSUIT CHALLENGING FLORIDA'S MARRIAGE EQUALITY BAN. THROUGH OUR GETENGAGED.ORG, WE'VE BUILT COALITIONS WITH DIVERSE COMMUNITIES INCLUDING FAITH, HISPANIC, AFRICAN-AMERICAN, LEGAL, LOCAL GOVERNMENTS, ETC. WE ARE ALSO PARTNERING WITH NATIONAL ORGANIZATIONS, LIKE FREEDOM TO MARRY, HRC, NCLR, GILL FOUNDATION, NGLTF, ETC. TO SECURE FULL MARRIAGE EQUALITY. THROUGH OUR EFFORTS, FLORIDA IS NOW FULLY ENGAGED IN THE FIGHT FOR MARRIAGE EQUALITY AND FINDS ITSELF IN THE NATIONAL SPOTLIGHT AS A CRITICAL STATE FOR A MARRIAGE EQUALITY VICTORY. 3 - LOCAL POLICY: DURING 2013, EQUALITY FLORIDA BUILT COALITIONS WITH DOZENS OF LOCAL LGBT AND PROGRESSIVE ORGANIZATIONS. THE PARTNERSHIPS HELPED PASS A RECORD 20 NEW LOCAL POLICIES IN FLORIDA THAT PROTECT THE LGBT COMMUNITY INCLUDING NONDISCRIMINATION POLICIES, DOMESTIC PARTNERSHIP REGISTRIES, TAX EQUALITY POLICIES AND EQUAL BENEFITS ORDINANCES. IN JUST ONE YEAR, DOMESTIC PARTNER BENEFITS WERE MADE AVAILABLE TO OVER 16 MILLION MORE FLORIDIANS. OVER 120 PRO-LGBT POLICIES HAVE BEEN PASSED SINCE OUR FOUNDING IN 1997.

WE'VE INVESTED HEAVILY IN BUILDING SOCIAL MEDIA PLATFORMS THAT PROVIDE LOVING SAME-SEX COUPLES AND FAMILIES THE MEANS TO SHARE THEIR STORIES WITH ALL OF FLORIDA AND THE WORLD. LARGELY DUE TO EQALITY FLORIDA'S EDUCATION EFFORTS, 57% OF FLORIDIANS NOW SUPPORT FULL MARRIAGE EQUALITY. SECOND, WE HAVE SHOWN DECISION MAKERS ACROSS THE STATE THAT VISIBLE COMMUNITY SUPPORT FOR DIVERSITY AND INCLUSION IS CRITICAL FOR ECONOMIC SUCCESS. WE'VE HIGHLIGHTED THE FACT THAT AMONG THE NATION'S MOST SUCCESSFUL BUSINESSES, THE FORTUNE 500, 87% INCLUDE SEXUAL ORIENTATION IN THEIR NON-DISCRIMINATION POLICIES AND A MAJORITY NOW INCLUDES GENDER IDENTITY. OVER 500 LOVING COUPLES SUBMITTED THEIR LOVE STORIES IN AN EFFORT TO BE PLAINTIFFS IN OUR SUIT. EVENTUALLY, SIX AMAZING COUPLES WERE SELECTED TO JOIN EQUALITY FLORIDA AS PLAINTIFFS AND THE SUIT WAS FILED ON TUESDAY, JANUARY 21, 2014. WINNING THE FREEDOM TO MARRY FOR EVERY LOVING, COMMITTED COUPLE IN FLORIDA WILL NOT BE EASY, BUT WE SIMPLY WILL NOT STOP. ALSO DURING 2013, EQUALITY FLORIDA WORKED WITH OUR LOCAL PARTNERS TO TURNOUT OUR MEMBERS AT CITY COUNCIL AND COUNTY COMMISSION MEETINGS THROUGHOUT THE STATE. WITH ENORMOUS VISIBLE SUPPORT, LOCAL GOVERNMENTS PASSED 20 NEW LOCAL POLICIES IN FLORIDA THAT PROTECT THE LGBT COMMUNITY INCLUDING NON-DISCRIMINATION POLICIES, DOMESTIC PARTNERSHIP REGISTRIES, TAX EQUITY POLICIES AND EQUAL BENEFITS ORDINANCES. THE LBGT COMMUNITY IN FLORIDA HAS BECOME A DEFINING FEATURE OF OUR STATE'S POLITICAL LANDSCAPE. SINCE OUR FOUNDING IN 1997, EQUALITY FLORIDA HAS IDENTIFIED NEARLY 350,000 SAME-SEX AND PRO-LGBT VOTER HOUSHOLDS IN FLORIDA AND WE MAKE EVERY EFFORT THROUGH OUR GOTV PROGRAM TO ENSURE FLORIDA'S LGBT COMMUNITY TURNS OUT ON ELECTION DAY.
