Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee consists of the chair of the board of directors, the secretary, the treasurer, and the chairs of the governance and finance committees. The executive committee provides leadership, coordination, and guidance to the board of directors. Between meetings of the board of directors, subject to the direction and control of the board of directors, the executive committee shall monitor the progress of board committees, assist the chief executive officer in meeting preparation, and provide guidance and assistance to the chief executive officer as requested. The executive committee does not have the authority to: (a) fill vacancies on the board of directors or any committee thereof; (b) adopt, amend, or repeal the articles of incorporation or bylaws; (c) fire or hire the chief executive officer; and (d) perform any duties reserved for the entire board of directors.

Form 990 is reviewed by the ceo, treasurer and finance committee. The form is then distributed to the full board of directors for review and comment prior to filing.

Form 990, Part VI, Section B, Line 12C

Any director, principal officer, or member of a committee with governing board delegated powers, who has a direct or indirect financial interest, must disclose the existence of the actual or possible financial interest immediately upon discovery. Procedures for addressing the conflict are documented in the minutes. The minutes shall contain: (a) the names of the persons who disclosed or otherwise were found to have a financial interest in connection with an actual or possible conflict of interest, the nature of the financial interest, any action taken to determine whether a conflict of interest was present, and the decision as to whether a conflict of interest in fact existed; and (b) the names of the persons who were present for discussions and votes relating to the transaction or arrangement, the content of the discussion, including any alternatives to the proposed transaction or arrangement, and a record of any votes taken in connection with the proceedings. The conflict of interest policy is reviewed annually with all interested persons.

Form 990, Part VI, Section B, Line 15

The ceo's compensation is reviewed and approved by the board of directors. The process includes approval by persons without a conflict of interest, use of comparability data, and recording compensation deliberations. Relevant information may include, but is not limited to, compensation levels paid by similarly situated organizations for functionally comparable positions, the availability of similar services in the geographic area of the organization, current compensation surveys compiled by independent firms, and actual written offers from similar institutions competing for the services of the compensated person. Review and approval is promptly recorded in the minutes and contain: (a) the terms of the compensation and date approved; (b) the names of the members who were present and voted on the compensation; (c) the comparability data obtained and relied upon, and how it was obtained; (d) any action taken with respect to consideration of the compensation by a member who had a conflict of interest with respect to the compensation; and (e) if the reasonable compensation is higher or lower than the range of comparability data obtained, and the basis for the decision. The current salary of our ceo has been found to be in the mid-range of researched salaries.

The finance committee approves the rfp, reviews proposals, and selects the independent cpa firm. The cpa firm communicates directly with the finance committee during audit planning with respect to the expected timing and scope of the audit and at the conclusion of the audit with respect to various qualitative aspects of the audit, difficulties encountered, and any significant findings. This process has not changed from the prior year.

Funds held in trust consist of passthrough funds received by efi to be disbursed towards the ohio berlin rosen contract on behalf of the equality ohio education fund, a 501(c)(3) organization that advocates and educates to achieve fair treatment and equal opportunity for all ohioans

The organization's endowment consists of one donor-restricted endowment fund established to support the operations of the organization.

PART X, LINE 2:

The organization has been recognized by the internal revenue service as a tax-exempt organization under section 501(c)(3) of the internal revenue code. Income earned in furtherance of the organization's tax-exempt purpose is exempt from federal and state income taxes. The organization is treated as a publicly supported organization, and not as a private foundation. The organization has adopted the provisions of asc topic 740, relating to accounting for uncertainty in income taxes and does not believe it has any material income tax exposure relating to uncertain tax positions. The organization's tax filings are generally open for examination by taxing authorities for three years after the date of filing.

DESPITE POLITICAL HOSTILITY, WE REFINED AND STRENGTHENED OUR MODEL BY MORE DEEPLY LINKING EDUCATION AND MENTAL HEALTH, BUILDING A SCALABLE PROGRAM THAT PROTECTED LGBTQ YOUTH WHILE SETTING AN EXAMPLE FOR OTHER STATES. OUR APPROACH WAS ROOTED IN SYSTEMS CHANGE: EMBEDDING SOLUTIONS DIRECTLY WITHIN SCHOOLS, HEALTHCARE NETWORKS, AND COMMUNITIES SO THAT SUPPORT REMAINED DURABLE AND SUSTAINABLE, EVEN IN MOMENTS OF CRISIS.(CONTINUED ON SCHEDULE O)A DECADE OF RELATIONSHIP-BUILDING WITH KEY EDUCATION LEADERS PAID OFF. IN 2024 ALONE, SHS ACTIVELY COLLABORATED WITH MORE THAN 80 SUPERINTENDENTS AND SCHOOL BOARD MEMBERS ACROSS NEARLY HALF OF FLORIDA'S DISTRICTS. RESEARCH FROM THE CDC CONFIRMED WHAT WE SAW IN PRACTICE: WHEN DISTRICTS ADOPTED INCLUSIVE POLICIES AND PRACTICES - LIKE THOSE SHS PRIORITIZED - STUDENTS EXPERIENCED LESS DISTRESS, LESS HARASSMENT, AND FEWER SUICIDAL THOUGHTS. RECOGNITION OF THIS IMPACT CAME WHEN THE FLORIDA EDUCATION ASSOCIATION HONORED SHS WITH THE HUMAN AND CIVIL RIGHTS AWARD, ACKNOWLEDGING OUR EFFORTS TO CREATE SAFE, FAIR, AND INCLUSIVE SCHOOLS.TRAINING AND EDUCATION REMAINED CENTRAL TO OUR WORK. IN 2024, SHS CONDUCTED 65 TRAINING SESSIONS FOR 3,220 EDUCATORS, MENTAL HEALTH PROFESSIONALS, AND PARENTS - BRINGING OUR TOTAL REACH TO MORE THAN 41,000 INDIVIDUALS STATEWIDE. BY BUILDING DISTRICT CAPACITY TO DELIVER TRAINING INTERNALLY, WE EXTENDED OUR REACH BY AN ESTIMATED 4,000 ADDITIONAL STAFF THIS YEAR. WE ALSO DEVELOPED OR STRENGTHENED LGBTQ SUPPORT GUIDES IN 12 SCHOOL DISTRICTS, SAFEGUARDING NEARLY 2 MILLION STUDENTS, AND EXPANDED OUR PARENTING WITH PRIDE COMMUNITY TO 2,200 FAMILIES. THESE INITIATIVES EQUIPPED EDUCATORS, MENTAL HEALTH PROVIDERS, AND PARENTS WITH CULTURALLY COMPETENT STRATEGIES THAT HELPED ENSURE LGBTQ YOUTH WERE SUPPORTED ACROSS EVERY PART OF THEIR LIVES.WE ALSO DEEPENED OUR CONVENING POWER IN 2024, BRINGING COMMUNITIES TOGETHER AROUND SHARED COMMITMENTS TO LGBTQ SAFETY AND HEALTH. HIGHLIGHTS INCLUDED OUR ANNUAL 'ALL TOGETHER NOW' CONFERENCE, WHERE THREE SUPERINTENDENTS ISSUED A POWERFUL CALL TO ACTION; OUR FIRST 'BACK TO SCHOOL SUMMIT' FOR 240 PARENTS; A 'BEHAVIORAL HEALTH SUMMIT' SERVING 125 LICENSED PROFESSIONALS; AND PARENT SUMMITS HOSTED IN FIVE COMMUNITIES IN PARTNERSHIP WITH PFLAG AND PTA. ADDITIONALLY, OUR YOUTH LEADERSHIP COUNCIL LAUNCHED ITS THIRD COHORT, EMPOWERING LGBTQ STUDENTS TO BECOME VISIBLE, INFORMED ADVOCATES. TOGETHER, THESE MILESTONES DEMONSTRATED HOW SHS BUILT A RESILIENT STATEWIDE INFRASTRUCTURE OF EDUCATION LEADERS, PARENTS, AND YOUTH DETERMINED TO CREATE SAFE SCHOOLS, AFFIRMING COMMUNITIES, AND PATHWAYS TO HEALTHIER FUTURES.TRANSGENDER EQUALITY:- OFFICIALLY REBRANDED THE DEPARTMENT TO FEEL MORE ALIGNED WITH EQUALITY FLORIDA. NO LONGER TRANS ACTION, NOW RECOGNIZED AS TRANS EQUALITY.- TRANS EQUALITY FOCUSED ON BUILDING RELATIONSHIPS WITH TRANS LEADERS IN THE STATE AND UPLIFTING THE WORK OF TRANS-LED ORGANIZATIONS AND INITIATIVES IN THE STATE. TRANS EQUALITY HAS BEEN ABLE TO LINK DOZENS OF INDIVIDUALS HAVING TROUBLE WITH THEIR LEGAL NAME CHANGE AND GENDER MARKER ADJUSTMENTS TO LEGAL PARTNERS.- ORGANIZED AND HELD THE LARGEST TRANS MARCH ON TALLAHASSEE TO DATE. THE LET US LIVE MARCH IS A COLLABORATIVE EFFORT AMONG MANY TRANS-LED ORGS IN FLORIDA AND HAD OVER 350 ATTENDEES THIS YEAR. - CONDUCTED, FACILITATED AND/OR PARTICIPATED IN VARIOUS TOWN HALL AND EDUCATIONAL EVENTS WITH EXPERT PANELISTS DISCUSSING VARIOUS TOPICS.- TRANS EQUALITY WORKED CLOSELY WITH THE EQUALITY FLORIDA'S PUBLIC POLICY TEAM TO MOBILIZE PARENTS OF TRANS AND NONBINARY YOUTH AND ACTIVISTS TO BOARD OF MEDICINE/BOARD OF OSTEOPATHIC MEDICINE AND MEDICAID/AHCA MEETINGS.- TRANS EQUALITY HELD THE 2ND ANNUAL FLORIDA VOICES FOR CHANGE CONVENING, A LEADERSHIP SUMMIT THAT SAW 40 TRANS-LED ORGS GATHER TO TALK ABOUT THE SUCCESS, OBSTACLES, NEXT STEPS, AND HOW WE CA
