Governance Explanations

Form 990, Page 6, Part VI, Line 11B

The draft form 990 is circulated to all act board members via email in advance of a pending board meeting. The form 990 is subsequently presented to members at the next full board meeting where members can ask questions about the document before voting its approval for submission to the irs each year.

Form 990, Page 6, Part VI, Line 12C

Act circulates a governance questionnaire to all board members each year in advance of form 990 preparation which specifically asks questions designed to reveal any conflict of interest involving the member. Should any such conflicts surface, they are reviewed before the full board, and appropriate action determined by board motion.

Form 990, Page 6, Part VI, Line 15A

Prior to the hiring of the current executive director, an executive committee of the board evaluated current market rates for land trust directors utilizing the land trust alliance's most recent statistics along with anecdotal information about similarly situated employees at other florida land trusts of similar size. The process was documented in board minutes, and both the ultimate hire & determination of compensation were established by a motion of the board.

Financial Statement Notes

Schedule D, Page 1, Part II, Line 5

Alachua conservation trust (act) is committed to upholding the legal and community obligations placed upon the organization by the conservation easements it accepts. Act is obligated to protect in perpetuity the conservation values and purposes embodied in the conservation easements held by act. Accordingly, act shall monitor, defend and enforce the terms of each conservation easements on a consistent basis. Act shall monitor conservation easements on at least an annual basis to ensure that lands subject thereto are being used in accordance with the terms of the easement and that any violations or potential or suspected violations are identified as soon as possible. The board of directors shall ensure that all potential or suspected violations are thoroughly investigated and shall, on a case- by-case basis and at the discretion of the board, seek to remedy all actual violations in an appropriate manner.

Schedule D, Page 1, Part II, Line 9

Act segregates monitoring and enforcement endowments for each conservation easement in a restricted fund. Most monitoring of conservation easements is performed by act board members, who are also trained volunteers. The restricted funds for prairie creek preserve and tuscawilla preserve were invested with the community foundation of north central florida. Only tuscawilla preserve includes a conservation easement. The monitoring and enforcement endowments for all other conservation easements were invested with florida capital bank. Only the interest in these endowments can be used for monitoring and the principal may be used for enforcement. The financial statements include the following footnote related to conservation easements: "property owners grant to the corporation conservation easements that restrict the owner's use of the land in perpetuity. Some allow the corporation to conduct research and studies on the properties. Since the corporation does not receive any rights to the property, the corporation assigns only a nominal value of 1 per acre."

Schedule D, Page 2, Part III, Line 4

Haile historic homestead is a pre-civil war plantation house that has cultural and historical value and is operated as a museum.

Schedule D, Page 2, Part V, Line 4

Endowment funds are held to generate income to fund propety management.

Schedule D, Page 3, Part X

The corporation is tax exempt under section 501(c)(3) of the internal revenue code and does not earn any unrelated business taxable income. Therefore, no provision for income taxes is reflected in the accompanying financial statements. In addition, the corporation qualifies for the charitable contributions deduction and has been classified by the internal revenue service as an organization that is not a private foundation. The corporation is operated exclusively for charitable, scientific and educational purposes. The corporation holds no uncertain tax positions and, therefore, has no policy for evaluating them.
