Mission

The safe children coalition's mission is to protect children and youth, strengthen families, and build community.

The sarasota family ymca is a charitable organization providing a rich and varied compendium of programs and services to a diverse population. As an association of all ages, ethnic groups and religious affiliations, we are united in putting judeo-christian principals into practice through programs that enrich the quality of spiritual, mental, physical and social life for children, families and our community. The association challenges people to live by the four core values of caring, honesty, respect and responsibility. The mission of the ymca is "we build strong kids, strong families, strong communities."

Governance Explanations

Form 990, Part VI, Section A, Line 4

Amended and restated by laws adopted 02-16-2017 article v - management and meetings of the directors section 2(a) added - "members of the board of directors shall serve their first term for an initial one (1) year period." added - "provided, however, that if a member is elected to a first term other than at an annual meeting of directors, such director's initial term shall expire at the next annual meeting of directors." section 14 added - "may also designate non-directors to any advisory committee." section 14(a) added * a development committee and * may also include such other committees as the board of directors may from time to time deem appropriate. Section 14(c) added in entirety - c) the board of directors may by resolution appoint an executive committee consisting of its chairman, vice chairman, secretary and treasurer of this corporation. The chairman may name up to three additional directors to the executive committee to serve until the next annual meeting of the board of directors. The executive committee shall not hold regular meetings. Its purpose shall be limited to acting on behalf of the board of directors in emergency situations where it is impracticable to obtain a board quorum. Any actions by the executive committee shall be ratified by the board of directors as soon as practicable. The chairman may also call the executive committee into session on an ad hoc basis to consider and make recommendations to the board of directors concerning other issues, including without limitation the compensation of the chief executive officer and other senior management personnel and other human resources issues. Article vi - officers section 1(b) removed - the secretary and treasurer shall not serve for more than three (3) consecutive one (1) year terms. Replaced with - "the board officers shall be elected concurrently for a term of two years and beginning in june 2013 may not serve more than two consecutive terms in the same board officer position." section 3 removed - each chairman of the board shall serve an initial term of two (2) years. Section 6 added - in addition to attending board of director meetings, the secretary or the the secretary's designee will also attend advisory committee meetings to record votes and take minutes. Article vii - staff section 1 removed - the president shall serve at the pleasure of the board of directors and shall be discharged by two - thirds (2/3) vote of all active members of the board of directors. Replaced with - the president shall serve at the pleasure of the board of directors and shall be discharged with or without cause, by a two-thirds (2/3) vote of the entire board of directors. Article x - branch advisory boards section 2 added in its entirety - branch advisory board officers to include branch chairman, branch vice chairman, branch secretary and branch treasurer shall be elected for a term of two years. A branch advisory board officer can serve in the same branch advisory board officer position only for a single two year term. After a two year or longer hiatus, if nominated and elected, such individual can serve a second two year term in the same branch advisory board officer position. Section 5 added - that an advisory board member "be at least eighteen (18) years old." section 6 added to the description of the branch advisory board member retention - or failure to continue to own or to be a sustaining member of this corporation. Branch advisory board members shall be subject pari passu to the same term limits as the board of directors as provided in article v, section 2." section 8 removed - the chairman of each advisory board of each branch shall appoint a nominating committee consisting of two members of the advisory board and two members of the board of directors of the corporation in order to fill vacancies (as defined in section 6 of this article x) on the advisory board.
