Article ii, section 1, of the organization's bylaws were amended during the year to identify macdonald training center holding co. As the sole member of the organization. The section states: the sole member of the corporation shall be macdonald training center holding co., a florida corporation not for profit. Should macdonald training center holding co. Dissolve, cease to exist, or for any reason cease to be a member of the corporation, the member or members of the corporation shall be those persons or that person whom the board of directors (or the most recent board of directors) of macdonald training center holding co. Shall lawfully appoint as successor member or members. Should the board of directors of macdonald training center holding co. Fail to appoint successor members, then the members shall consist of those persons and only those persons who shall at that time constitute the board of directors of the corporation. The term "members" means the singular thereof in these bylaws wherever the context and facts require such a construction.

The organization has been recognized by the internal revenue service as a tax-exempt organization described in section 501(c)(3) of the internal revenue code of 1986. Income earned in furtherance of the organization's tax-exempt purpose is exempt from federal and state income taxes. The organization is treated as a publicly supported organization, and not as a private foundation. Asc topic 740, income taxes, clarifies the accounting and recognition for income tax positions taken or expected to be taken in the organization's income tax returns. The organization's income tax filings are subject to audit by taxing authorities and filings for periods after fiscal 2015 are open for examination. The organization does not believe it has any unrecognized exposure relating to uncertain tax positions at september 30, 2019.

MACDONALD TRAINING CENTER IS THE SOLE PACKAGER AND DISTRIBUTOR OF SUNPASS TRANSPONDERS. THE PACKAGING AND PROCESS IS CONTINUALLY BEING IMPROVED AND REFINED.
