Bethlehem Ministry works with rural Haitians in Northeast Haiti to overcome poverty and improve their quality of life.

We work with Haitians to overcome poverty & improve their quality of life. Through educational, economic, environmental & healthcare initiatives, we help build the capacity of Haitian communities to utilize their talents & resources for sustainable, positive change.

Governance Explanations

Form 990, Part VI, Line 11B: Form 990 Review Process

A review of the Form 990 is conducted by the Treasurer and the Finance Committee of the Board of Directors. In addition, a copy of the Form 990 is emailed to all other officers, Board members and the Executive Director in advance of its filing.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

Under Bethlehem Ministrys conflict of interest policy, directors, employees and contract labor must disclose the existence of a financial interest in connection with any actual or possible conflict of interest. After the disclosure of the financial interest and of all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. The chairperson of the board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether Bethlehem Ministry can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If that is not reasonably possible under the circumstances, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in Bethlehem Ministrys best interest, for its own benefit, and whether it is fair and reasonable and shall make a determination of whether to enter into the transaction or arrangement. In addition, the conflict of interest policy also requires that each officer, director, employee and contract labor must disclose any possible conflicts of interest at the first board meeting of the year.

Form 990, Part VI Line 15A - Compensation of Executive Director

This disclosure is provided in regards to the compensation of Kristen Pace as Executive Director, a position she assumed beginning June 1, 2019. In connection with the selection of Kristen Pace as Executive Director, the Executive Director Search Committee of the Board of Directors (none of whose members had a conflict of interest regarding the compensation of the Executive Director) was authorized by the Board to determine the compensation of Ms. Pace. The Committee reviewed the compensation information for the Executive Director position at three similarly situated organizations and determined that the compensation for Ms. Pace was comparable with other local area non-profits after adjusting for experience levels. The deliberations and decision of the Committee regarding the compensation were contemporaneously documented and recorded in the records of the Committee.

Form 990, Part VII - Compensation Explanation

KRISTEN PACEPrior to June 1, 2019, Kristen Pace served as a voting member of the Board of Directors. Ms. Pace did not receive any compensation for service as a member of the Board of Directors for that time period. On June 1, 2019, Ms. Pace became the Executive Director of Bethlehem Ministry. Per the Bylaws of Bethlehem Ministry, the Executive Director is an ex officio, nonvoting member of the Board of Directors. In her capacity as Executive Director, Ms. Pace received compensation of $26,250 in 2019. The hours reported in Part VII are with respect to her service as Executive Director only. ELLEN BRYSONDuring 2019, Ellen Bryon served as Interim Executive Director from January 1-May 31, 2019, for which services a company owned by her received $9600. During the time she served as Interim Executive Director she did not hold a voting position on the Board of Directors or another officer position. At the time of the appointment of a permanent Executive Director on June 1, 2019, Ms. Bryson ceased serving as Interim Executive Director and resumed her voting position on the Board of Directors (she held a nonvoting position while serving as Interim Executive Director). Ms. Bryson did not receive any compensation for service as a voting member of the Board of Directors.

Form 990, Part III, Line 4D: Other Program Services Description

OTHER PROGRAM SERVICES 4: The ministry supports Partner for People and Place, a U.S. 501(c)3, whose purpose is to reduce rural poverty in Haiti through sustainable, environmentally restorative economic development. It operates the program Jatrofa Projenou (JP) in Terrier Rouge, Haiti, a multifaceted agro-forestry and economic development program that includes (1) reforestation and renewal of agriculturally depleted lands, training of farmers in best practices and on-going research in plant propagation and production, (2) manufacturing and marketing value-added products derived from agricultural products, and (3) sponsoring apprenticeships that offer people the opportunity to learn marketable trades.

Form 990, Part IV, Line 14A - Offices and agents outside of the US

Bethlehem Ministry, Inc. has a longstanding and close working relationship with the Haitian NGO Esprance et Vie, and its founder and leader, Father Jean Monique Bruno. The NGO itself provides a variety of humanitarian services, and in addition created the St. Barthlmy School and the Clinique Esprance et Vie, which operate under its auspices. Bethlehem Ministry, Inc. works closely with Father Bruno, as well as individuals under his management, to best support the work of the NGO, School and Clinic. While Bethlehem Ministry, Inc. does not have an official office in Haiti, its officers, directors and volunteers have utilized the facilities of the NGO, Clinic and School. Likewise, while Bethlehem Ministry does not regard Father Bruno as its agent for legal purposes, it has a special relationship with him. Due to the significance of the of the history and working relationship, Bethlehem Ministry provides this disclosure for the avoidance of doubt and in the interest of transparency.

Financial Statement Notes

Part V, Line 4: Intended uses of the endowment fund.

The Endowment Fund was established by the Board of Directors from a donation that was not subject to a restriction by the donor, but that the Board voted to use as an endowment (known as a quasi-endowment). To date, no additional funds have been contributed to the Endowment. The Board of Directors is responsible for approving the distribution of any income and gain produced by the Endowment Fund, with the purpose of benefitting the Bethlehem Ministry organization and furthering the Bethlehem Ministrys mission and purposes. The policy adopted by the Board is that the aggregate of original principal amounts contributed to the Endowment Fund may not be invaded.

Most Haitians are unable to receive quality education past the 8th grade level because only 10% of education is funded by the Haitian government. 90% of education is provided through NGOs, religious organizations, and communities. The School offers pre-school through Baccalaureate education to over 1000 students, and provides them with school supplies, uniforms, daily hot meals, access to medical care and extracurricular activities, including music and sports. The School also provides professional development opportunities for its teaching staff and employees of approximately 100 people.

IRS990/ProgSrvcAccomActy2Grp/Desc0The ministry supports the Clinique Esprance et Vie, a medical clinic in Terrier Rouge, Northeast Department, Haiti, which is operated by the Haitian NGO Esprance et Vie. Services provided by the Clinic include general medicine, dentistry, ophthalmology, gynecology and obstetrics, as well as a pharmacy. This Clinic also provides mobile clinics in rural communities. Visiting teams of medical practitioners also provide orthopedic and general surgery services. The Clinic also offers public health education and outreach related to malnutrition, cholera, sexually transmitted diseases, and mosquito borne illnesses such as malaria, dengue, and Zika. All of these services and medicines are provided at low or no cost to Haitians, most of whom make less than $2/day.
