The form 990 is prepared and reviewed by the organization's management and reviewed by an independent third party accounting firm. Prior to finalization of the return, management provided access to a final draft of the form 990 to all members of the board of trustees and gave them an opportunity to make comments. Management provided the final version of the form 990 to all members of the board of trustees prior to filing.

Form 990, Part VI, Line 12C Conflict of interest policy

Emory university's conflict of interest policy requires trustees, officers and other decision makers to disclose participation in activities or circumstances that may present a conflict of interest on an annual basis or if at any time such individual becomes aware of circumstances that may present a conflict of interest. These disclosures by trustees are reviewed by the executive compensation and trustees' conflict of interest committee of the university board of trustees ("conflict of interest committee"), as necessary. If the conflict of interest committee determines that a conflict of interest exists, the individual with the conflict of interest may make a presentation to the applicable committee, but after such presentation, the individual must leave the meeting during the discussion of, and the vote on, the transaction or arrangement that resulted in the conflict of interest. During the fiscal year none of the trustees with related business interests voted on business decisions involving such companies.

The intended uses of emory university's endowment funds consist of a variety of areas including funding of scholarships and fellowships, endowed chairs, lectureships, professorships, operating budget support, library materials, capital projects, research, student loans and other special projects.

The University is recognized as a tax-exempt organization as defined in Section 501(c)(3) of the U.S. Internal Revenue Code of 1986, as amended (the Code), and is generally exempt from federal income taxes on related income pursuant to Section 501(a) of the Code. The University is, however, subject to federal and state income tax on unrelated business income and provision for such taxes is included in the accompanying consolidated statements of activities. The Tax Cuts and Job Acts (the Act) imposes an excise tax on net investment income and excess compensation for certain organizations and establishes rules for calculating unrelated business income. Emory has reflected the tax assets and liabilities in the accompanying consolidated financial statements based on reasonable estimates. The University also has a net operating loss carryforward related to unrelated business income aggregating $170.9 million, for which a valuation allowance of $117.0 million is recorded as of August 31, 2024. As of August 31, 2023, the University had a net operating loss carryforward of $179.9 million, with a valuation allowance of $151.8 million. The University regularly evaluates its tax positions and as of August 31, 2024 and 2023, does not believe it has any material uncertain tax positions that require disclosure or adjustment to the consolidated financial statements.
