“In conducting an account review in accordance with university policy, a department discovered potential irregularities involving vendor payments and immediately contacted the office of hopkins internal audits (ohia) to report their concerns and findings. An internal investigation was immediately initiated by ohia which determined an employee had diverted $1,758,010 in university funds to a group of vendors for services that could not be substantiated. The employee involved in this diversion was terminated. The employee was not an officer, director, trustee or key employee of the university. After the investigation, ohia referred the matter to the united states attorney's office in baltimore maryland. The university also filed a claim with its insurance provider, which is still outstanding. The discovery of this diversion prompted ohia to conduct a broader review of university payments to vendors to ensure similar issues did not exist in other university areas. No additional irregularities were discovered. In order to mitigate risk moving forward, university procurement has enhanced its vendor monitoring to ensure appropriateness and compliance. Policy and procedural revisions are underway to further strengthen the procurement review process for all independent contractors.”
“The form 990 was prepared by the university's tax office in conjunction with various offices including general accounting, investment management, development, accounts payable, government affairs and human resources. The form 990 was reviewed by the controller, the chief financial officer, general counsel and the external audits sub-committee of the board of trustees. A full copy of the form 990 was provided to the board of trustees before it was filed.”
“The university has several conflict of interest policies. First, the university has a policy of the board of trustees regarding conflicts of interest that applies to all board members and includes the financial interests of their family members. The policy requires disclosure of any possible conflict of interest at the earliest practical time. If a board member is uncertain as to whether a conflict exists, a final determination may be made by majority vote of the board of trustees. Board members are prohibited from voting on any matter in which such member has a possible conflict of interest, and the board member is not counted in determining a quorum. The disclosure and abstention are reflected in the minutes. Second, the university has a policy on conflict of interest and conflict of commitment that applies to all employees of the university. The policy requires every employee to disclose outside interests and outside activities that could create a conflict of interest or conflict of commitment. Supervisors and divisional conflict of interest managers review disclosures for possible conflicts of interest, and either prohibit employee activity or issue other conditions by which to manage any conflict of interest. Third, the university has a policy on institutional conflict of interest that applies to the financial holdings of the university as well as certain financial interests of university officers, deans, provosts, other institutional officials. These individuals make annual disclosures of their financial interests and fiduciary roles as defined in the policy and must update their reports within a reasonable period of time after they learn that their financial interests have changed. Fourth, the university has a code of conduct that applies to all employees of the university. The code of conduct requires employees to timely disclose outside interests and activities that many create a conflict of interest with their university responsibilities. The university has an intermediate sanctions policy that applies to both current and former members of the board of trustees, university officers, interim officers, key employees and family members of these individuals. Trustees and officials make an annual disclosure of certain financial interests. If a possible conflict of interest is identified, the interest is reviewed by the intermediate sanctions committee of the board. The university has conflict of interest policies in specific areas. For example, the university has a procurement code of conduct that dissuades employees from having personal interests in suggesting or specifying vendors. The university also has a policy that requires financial aid officers annually to disclose certain financial interests. The school of medicine has a policy on interaction with industry that applies to certain financial relationships with the medical industry. In addition to the applicable university policies, various divisions of the university have conflict of interest policies that impose additional restrictions. For example, there are divisional conflict of interest policies relating to research. Possible conflicts identified under these policies may be reviewed by a committee which makes recommendations to a dean. Conflicts are managed in various ways, which may include prohibition of the research, public disclosure of the interest, divestiture of financial interests and other restrictions and conditions.”

The compensation committee is advised by an independent third-party consulting company which prepares benchmarking compensation surveys each year by gathering comparable data from a group of peer institutions. “The arthur friedheim library at the peabody institute contains rare books, scores, and manuscripts from as early as the 17th century. Highlights include beethoven's manuscript for "da ist das werk" (woo 197), music and correspondence with direct links to baltimore, and letters penned by mendelssohn, liszt, landowska, bloch, grieg, dickens, and emerson. The archives of the library holds the historical records of the institute dating to its founding in 1857, including 20,000 recordings of peabody performances. In addition, the archives hold more than 200 special collections related to music and baltimore history, including rare materials on rosa ponselle, enrico caruso, phyllis bryn-julson, leon fleisher, charlie byrd, and john pendleton kennedy. The peabody archives, the william f. Lucas & family papers, the phyllis bryn-julson collection, and the charlie byrd collection are all housed at the peabody institute of the johns hopkins university. The university's evergreen museum and library has five library spaces that, together, form the john work garrett library of the university's sheridan libraries and contain collections of rare books, literary works, early manuscripts, paintings, drawings, artifacts and one of the largest private collections of incunabula in the united states (books printed prior to 1501). The approximately thirty period rooms contain fine and decorative arts representing a range of artistic styles popular with affluent american collectors from the second half of the nineteenth century and first half of the twentieth century. Evergreen's museum collections especially concentrate in art glass, modernist artists, and japanese netsuke and inro. The museum includes the only extant private theatre in baltimore and two additional interiors designed by ballet russes' tastemaker and celebrated modernist artist lon bakst (1866-1924). The university's homewood museum, the one-time country estate of charles carroll of homewood (1775-1825) and his wife harriet chew carroll (1775-1861) houses a permanent collection of nineteenth century decorative arts. The majority of the collection is american, with a strong concentration in federal-era baltimore furniture. In addition, the collection contains english ceramics, silver, and furniture, as well as items of chinese and french manufacture, that are reflective of the imports available in early-19th century baltimore. The george peabody library is part of the johns hopkins sheridan libraries special collections and is located within the campus of the peabody institute but is managed by the sheridan libraries. The library is focused on materials from the 19th century. The core of the collection was built by the first librarian john morris under instruction from baltimore merchant and philanthropist george peabody. Mr. Morris studied the catalogs of the great libraries of europe and created a list of 50,000 books that he actively pursued purchasing for the library. The collection, which is now over 300,000 volumes reflects broad interests but is particularly strong in religion, british art, architecture, topography, history, romance languages, history of science and exploration. Highlights of the collection include first editions by poe, hawthorne, melville, h.l. Mencken, many early editions of don quixote, and maryland and baltimore maps. The libraries interior is often cited as one of the most beautiful libraries in the world. The university also maintains strong collections in medicine, science, technology, engineering, international affairs, music, and earth and space science that are located across its campuses in baltimore, washington dc, bologna italy, and nanjing china. The collections that have been described provide cultural value and invaluable resources to be used for education, research, and teaching within the johns hopkins university community as well as its surrounding environment.”
“The university has entered into separate agreements with the johns hopkins hospital endowment fund, inc. (jhhefi),the evergreen house foundation (ehf) and the robert garrett fund for surgical treatment of children (garrett) whereby those entities transferred funds to the university to invest in the university's endowment investment pool (eip); the university manages these assets on their behalf. The funds are invested with other university assets in the unversity's name and title, and in accordance with the university's eip investment policies and objectives.
