“Members have equal rights to vote on certain matters, as set forth in the association's articles of incorporation and bylaws (charter documents) and as otherwise provided in the south carolina non profit corporation act of 1994, including the election of directors, the amendment of the charter documents and other significant decisions.”

“The association's board members are elected by the members of the association, as set forth in the charter documents, typically at the annual meeeting of members. The board directors may fill vacancies on the board during the interim.”

“Members have equal rights to participate in the organization's approval of significant decisions, such as, filling vacancies on the board, addition of new members, budget approval, and disbrusement approval. As noted above, the members (as distinguished from the board of directors) have the approval rights set forth in the charter documents and the sc nonprofit code.”
