“The executive committee is composed of the elected officers of the association, no more than three other members of the board of directors appointed by the president, and a member of the orchestra selected by the orchestra committee and appointed by the president. The executive committee is authorized to act for the association between board meetings and is convened as often as necessary by the president. The executive committee also establishes the compensation of the executive director and the music director subject to the approval of the board.”

“The bylaws provide for the following members: a) those donors who have donated to the association's encore society at a level as determined by the board of directors from time to time or higher level or at an equivalent cash amount to other association sponsorships during the twelve months prior to the end of the fiscal year for which any annual meeting or special meeting is called, b) present members of the board of directors; and, c) those other donors who have donated an aggregate amount to the greenville symphony endowment fund, inc. As determined by the board of directors from time to time.”

“The association's board members are elected by the members of the association, as set forth in the charter documents, typically at the annual meeting of members. In addition to elected members, the board appoints four members from the orchestra and such members from any supporting organization the board deems appropriate. The board of directors may fill vacancies on the board during the interim.”

“Members have equal rights to participate in the organization's approval of new directors and any other matters required by law. As noted above, the members (as distinguished from the board of directors) have the approval rights set forth in the charter documents and the sc nonprofit code.”

“The finance committee of the board of directors has the opportunity to review and make any necessary changes to form 990. The form 990 is also distributed to all board members before filing.”

“The executive committee of the board of directors is tasked with reviewing any transactions that may involve an interested party to ensure that the transaction is at arm's length. Anyone with a conflict would not be allowed to vote on such matters. Each director will annually execute an acknowledgement of this obligation and a disclosure of any conflict of interest.”

“The compensation of the executive director is set based on comparability data obtained from an independent third party and is approved by the executive committee of the board of directors and ratified by the board of directors.”

“The board determined the compensation for the music director based upon data of comparable orchestras obtained from an independent party. The compensation of the music director of the association is approved by both the executive committee and the board of directors.”

“The association's governing documents, conflict of interest policy, and audited financial statements are available upon request.”
