Governance Explanations

Form 990, Part VI, Section B, line 11B

The Form 990 is provided to each board member for review before filing. Any questions and/or comments are discussed between the board members and any questions are sent to the President of the organization for resolution. Once all question/issues are satisfactorily resolved, the Form 990 is filed.

Form 990, Part VI, Section B, line 12C

The organization regularly and consistently monitors and enforces compliance with the policy by requiring all directors and officers to formally disclose any potential or actual conflicts of interest on a regular basis. The members of the board or directors are required to disclose any such conflicts of interest as they may arise. In the case of the President, the annual board meetings provide a formal opportunity for the President to discuss and/or disclose to the other board members any potential conflicts of interest that may arise in relation to the role of the President.

Form 990, Part VI, Section B, line 15

There was no change in executive compensation during FY 2022-2023. Changes that result in an increase in executive compensation are made by decisions of the independent members of the board of directors based on comparative analysis presented in a review document. The methodology used by Conflict Dynamics includes a comparative analysis based on data pertaining to compensation for comparable positions at similarly situated organizations, and an 'internal' comparison using compensation of other members of the organization. This process includes but is not limited to review of: (i) third-party/independent survey of not-for-profit organization salaries for Massachusetts and for the United States in general compiled by Economic Research Institute; (ii) annual filings of comparable not-for-profit organizations of similar size, mission and geographical location using comparability date. (iii) United States government senior executive salary scales; (iv) United Nations professional and management salary scales; (v) United States Government Bureau of Labor Statistics cost of living/CPI calculator. The data sources and citations for each sources are included in the compensation review document which is prepared for the board of directors. The decisions of the independent members of the board of directors regarding executive compensation are captured through their signature of the executive compensation proposal. The concurrence of a majority of the independent members of the board of directors is required to approve an executive compensation review findings and proposal. Other than the President of the Organization, no officer(s) receives compensation.

Additional Explanations

Form 990, Explanation of Changes for Amended Return:

The Conflict Dynamics International, Inc. 2022 Form 990 is being amended to reflect the final issued Audited Financial Statements for the period end 06/30/2023. The following has been updated: 1. Form 990, Part I, line 8 has been updated to include $61,043 of additional contribution revenue reported on the final financial statements. This change is also reflected on Form 990 Part VIII line 1e, Form 990 Part XI line 1, and Schedule A Part II line 1 column (e). 2. Form 990, Part I, line 19 and Form 990, Part XI, line 3 has been updated to reflect the $61,043 increase in revenue. 3. Form 990, Part I, line 20 has been decreased by $31,387. This change is reflective of the decrease made on Form 990, Part X, line 3. 4. Form 990, Part I, line 22 has been decreased by $31,387. This change is reflective of the decrease made on Form 990, Part X, line 27. 5. Form 990, Part III, line 4a program expenses have increased by $2,382 due to the reclassification of expenses from management and general to program expenses. This is reflected on Form 990, Part IX, lines 11c, 16, 24a and 25. While the totals have not changed, the amounts in column c and column b have been updated to reflect the reallocation of expenses from management and general to program service expenses as reported on the financial statements. 6. Form 990, Part IV, line 12a has now been checked as 'yes' since the audit has been completed. 7. Form 990, Part XI, line 8 has decreased by $92,430 to reflect the change in prior period adjustments reflected on the financial statements. The corresponding narrative shown on Schedule O has also been updated to reflect this change. 8. Form 990, Part XII, lines 2b, 2c, 3a, and 3b have now been marked as "yes" as the Financial Statement Audit and Uniform Guidance Single Audit has been completed for the reporting period 06/30/2023. This program area encompasses programs and projects on thematic issues related to peace as well as context-specific programs. In this program area, Conflict Dynamics directly engaged in and supported approaches to preventing and resolving conflict in a number of contexts in Sub-Saharan Africa and the Middle East and North Africa. Conflict Dynamics' activities in this area included mediation, mediation support, conflict analysis, convening and facilitation, dialogue process design, technical support, capacity building etc. This work included development and support in use by parties to conflict, civil society constituencies and affected communities of frameworks and tools for conflict prevention and resolution.Conflict Dynamics worked with inter-governmental organizations to support mediation efforts and conflict prevention, and contributed to national and international dialogues and policy discourse on conflict prevention and resolution. Furthermore, Conflict Dynamics supported national capacities and approaches to building peace, which included collaborations with national partner organizations. Conflict Dynamics' work in this area has a particular focus on addressing exclusion and inequality as key drivers of conflict.Work in this program area directly benefited more than 58 million people affected by armed conflicts in specific contexts in Africa. This work also substantially benefited more than 5,000 peace practitioners working globally in many of the 55 state-based armed conflicts ongoing around the world in 2022.Relationship to organization's exempt purpose: Work in these areas contributed directly and substantively to Conflict Dynamics' mission to prevent and resolve violent conflict.

IRS990/ProgSrvcAccomActy2Grp/Desc0Conflict Dynamics' programs to alleviate human suffering are arranged in the organization's Humanitarian Action program area. This program area encompasses programs and projects on thematic issues related to humanitarian affairs as well as context-specific programs. In this program area, Conflict Dynamics developed and implemented approaches to improve the policy and practice of humanitarian assistance and protection, which contributed to alleviating human suffering in situations of armed conflict around the world. This work included humanitarian policy development and outreach in the areas of: (i) ensuring humanitarian access to and by populations in need during armed conflicts; (ii) improving humanitarian engagement with parties to armed conflict; and (iii) protection of children in situations of armed conflict. Conflict Dynamics' work in this program area is oriented to improving the lives and living conditions of a portion of the estimated 1.8 billion persons living in fragile contexts and, more specifically, of the 274 million people in need of humanitarian assistance and protection worldwide. The work on humanitarian access and engagement contributed to improvements in humanitarian action which benefited 26.6 million persons in contexts across the African continent and in the Middle East. Conflict Dynamics also undertook exploratory work on use of emerging digital technologies to help people help themselves and others in times of crisis. This included digital technologies to help protect children affected by conflict and digital technologies to improve access by people to the goods and services they need.Relationship to organization's exempt purpose: This work contributed directly and substantively to Conflict Dynamics' mission to alleviate human suffering arising from conflicts and other crises.

Form 990, Part I, line 19 and Form 990, Part XI, line 3 has been updated to reflect the $61,043 increase in revenue. 3. Form 990, Part I, line 20 has been decreased by $31,387. This change is reflective of the decrease made on Form 990, Part X, line 3. 4. Form 990, Part I, line 22 has been decreased by $31,387. This change is reflective of the decrease made on Form 990, Part X, line 27. 5. Form 990, Part III, line 4a program expenses have increased by $2,382 due to the reclassification of expenses from management and general to program expenses. This is reflected on Form 990, Part IX, lines 11c, 16, 24a and 25. While the totals have not changed, the amounts in column c and column b have been updated to reflect the reallocation of expenses from management and general to program service expenses as reported on the financial statements. 6. Form 990, Part IV, line 12a has now been checked as 'yes' since the audit has been completed. 7. Form 990, Part XI, line 8 has decreased by $92,430 to reflect the change in prior period adjustments reflected on the financial statements. The corresponding narrative shown on Schedule O has also been updated to reflect this change. 8. Changes that result in an increase in executive compensation are made by decisions of the independent members of the board of directors based on comparative analysis presented in a review document. The methodology used by Conflict Dynamics includes a comparative analysis based on data pertaining to compensation for comparable positions at similarly situated organizations, and an 'internal' comparison using compensation of other members of the organization. This process includes but is not limited to review of: (i) third-party/independent survey of not-for-profit organization salaries for Massachusetts and for the United States in general compiled by Economic Research Institute; (ii) annual filings of comparable not-for-profit organizations of similar size, mission and geographical location using comparability date. (iii) United States government senior executive salary scales; (iv) United Nations professional and management salary scales; (v) United States Government Bureau of Labor Statistics cost of living/CPI calculator. The data sources and citations for each sources are included in the compensation review document which is prepared for the board of directors. The decisions of the independent members of the board of directors regarding executive compensation are captured through their signature of the executive compensation proposal. The concurrence of a majority of the independent members of the board of directors is required to approve an executive compensation review findings and proposal. Other than the President of the Organization, no officer(s) receives compensation.
