The board's finance committee reviews and comments on drafts of the form 990, ultimately recommending its approval to the full board, which receives a copy for its review before voting thereon.

Form 990, Part VI, Section B, Line 12C

Each current director, officer and key employee of the organization, as well as nominees for election as director (prior to his or her initial election), must submit to the secretary of the organization at least once per year (and updated as appropriate) a specified form of conflict of interest questionnaire. Copies of completed statements are also provided to the chair of the board. The board reviews all conflicts of interest and related party transact1ons and determines whether to approve or ratify any such matters in accordance with the standards set forth in the policy and applicable law. Approval requires the vote of at least a majority of the independent members of the board present and voting at the meet1ng. The board has broad discretion to take appropriate action if it finds non-compliance with the policy. The board may also delegate review and approval functions to the finance committee.

OUR THREE NONCOMPETITIVE SPORTS-BASED-YOUTH DEVELOPMENT PROGRAMS ARE CYCLING SMARTS, 4TOFIT, AND YOUTH CYCLING APPRENTICESHIP. IN FISCAL YEAR 2024, I CHALLENGE MYSELF FITNESS, CYCLING, COLLEGE ACCESS, AND CAREER READINESS PROGRAMS SERVED APPROXIMATELY 450 6TH-12TH GRADE STUDENTS, AGES 10-19, ENROLLED IN 9 PUBLIC SCHOOLS IN THE SOUTH BRONX, WASHINGTON HEIGHTS AND HARLEM. PROGRAMS ARE OFFERED FREE OF CHARGE TO EVERY STUDENT ENROLLED AT PARTICIPATING SCHOOLS REGARDLESS OF ATHLETIC OR ACADEMIC ABILITY. IN SCHOOL YEAR 2023-2024, THE ORGANIZATION RAN THE THIRD YEAR OF THE 4TOFIT PROGRAM WITH 260 STUDENTS ACROSS THREE MIDDLE SCHOOLS IN WASHINGTON HEIGHTS, HARLEM, AND THE BRONX. ICM COACHES MET WITH STUDENTS TWICE A WEEK FOR THE SCHOOL YEAR, WITH THE GOALS OF INCREASING ACCESS TO PHYSICAL EDUCATION, IMPROVING THE QUALITY OF THE PHYSICAL EDUCATION PROVIDED, AND USING A GAMING CURRICULUM TO DECONSTRUCT COMMON GAMES SUCH AS SOCCER TO INCREASE PARTICIPATION, ESPECIALLY WITH GIRLS. THE STUDENTS WORKED TOWARDS AN END OF YEAR CULMINATING EVENT SUCH AS A FIELD DAY OR BICYCLE OBSTACLE COURSE. CYCLING SMARTS INTRODUCES OUR STUDENTS TO ENDURANCE BICYCLING AIMED AT HELPING STUDENTS INCREASE PHYSICAL FITNESS AND ENDURANCE, IMPROVE SAFE CYCLING SKILLS AND INCREASE THEIR KNOWLEDGE OF NUTRITION. I CHALLENGE MYSELF OFFERED THE CYCLING SMARTS PROGRAM FOR THE 18TH YEAR AT THREE PROGRAM LOCATIONS: EASTSIDE COMMUNITY HIGH SCHOOL (15 STUDENTS), GEORGE WASHINGTON EDUCATIONAL CAMPUS (COMPRISED OF FOUR HIGH SCHOOLS; 20 STUDENTS), AND UNIVERSITY HEIGHTS HIGH SCHOOL (15 STUDENTS). STUDENTS MET TWICE A WEEK FROM OCTOBER TO JUNE, AND COMPLETED FIVE OUTDOOR WEEKEND RIDES IN THE FALL (TO PLACES LOCAL TO THE SCHOOL.) STUDENTS CYCLED IN SEVEN OUTDOOR SPRING BIKE RIDES TO PLACES FURTHER AFIELD LIKE ORCHARD BEACH OR CONEY ISLAND PLUS TO NYC-BASED COLLEGES LIKE COLUMBIA, BARUCH, AND CITY COLLEGE. A FEW HIGHLIGHTS OF THE EFFECTIVENESS OF OUR ACTIVITIES INCLUDED: 100% OF STUDENTS LEARNED BIKE SAFETY AND FELT COMFORTABLE ON THE BIKE BY THE END OF THE FIRST SEMESTER 96% OF STUDENTS FELT THE PROGRAM CREATED A SAFE AND SUPPORTED BY ONE ANOTHER (HELLO INSIGHTS) 100% FELT LIKE THEY WERE CHALLENGED TO WORK THROUGH A DIFFICULT PROBLEM HELLO INSIGHTS ALSO TOLD US THAT ONLY 50% OF STUDENTS FELT LIKE THEY WERE ABLE TO SET THEIR OWN GOALS. THUS, WE REALIZE THERE CAN BE OTHER GOALS THAN THE 100 MILER AND STUDENTS SHOULD NOT BE DISSUADED BY ONLY SETTING THAT GOAL. 30 STUDENTS RODE 20, 30, AND 65 MILES DURING THE PRIDE RIDE ON JUNE 9, 2024. YOUTH CYCLING APPRENTICES: WE ONBOARDED TWO YCAS IN SY 2024. YCAS FACILITATED SPIN CLASSES AT OUR YEARLY CYCLE FOR YOUTH FUNDRAISER EVENT. THEY DEMONSTRATED GREAT MASTERY OF CYCLING AND LEADERSHIP DEVELOPMENT. STUDENTS AT ALL HIGH SCHOOL LOCATIONS ALSO FOCUSED ON CIVIC ENGAGEMENT DURING THE 2023-24 SCHOOL YEAR. EXAMPLES OF PROJECTS INCLUDED COMPOSTING AT THE RIVERSIDE PARK ALLIANCE; CREATING CARDS FOR YOUTH IN CANCER HOSPITALS AT UNIVERSITY HEIGHTS HIGH SCHOOL; AND RUNNING COMMUNITY WORKSHOPS AT GEORGE WASHINGTON EDUCATIONAL CAMPUS.ON A FINAL NOTE, IN JUNE 30 HIGH SCHOOL STUDENTS FROM THE BRONX TOOK THE METRO NORTH TRAIN TO VISIT YALE UNIVERSITY. IT'S AMAZING TO HEAR STUDENTS THINKING THAT ATTENDING YALE IS ACHIEVABLE.
