Governance Explanations

The two classes of members are general and affiliate. General members are Native peoples who serve as staff, governing body members, or official representatives of corporate, foundation, or Native grantmaking organizations. They also have voting rights. Affiliate members are persons and organizations concerned about advancing issues facing Native peoples. Affiliate members have no voting rights.

At the annual meeting, general members have voting rights for the election of directors, presentation of reports on activities and financial condition, and transactions of such other business as may properly come before them at the meeting.

Board members are presented with draft copies of the Form 990 along with all required schedules and attachments. The Board is asked to review the Form 990 and then approve it.

The conflict of interest policy is addressed each year at the annual membership meeting and is enforced on an on-going basis throughout the normal course of business. The policy covers members of the Board of Trustees, Officers, and staff and requires disclosure supplements to be completed on an annual basis. Additionally, covered individuals have a duty to disclose the existence of his or her financial interest and all materials facts to the Baord of Trustees and/or the Executive Committee. If an interested person recuses himself or herself from the matter where the actual or potential conflict exists, the Board of Trustees or Executive Committee documents such recusal and the procedures for addressing the conflict in the meeting minutes per the policy's requirements. If the interested person desires to participate in the matter after disclosure of the financial interest and all material facts, and after any discussion with the interested person, he or she shall leave the Board of Trustees or Executive Committee meeting while the determination of a conflict of interests is discussed and voted upon by the remaining Board of Trustees or Committee Members to determine if a conflict of interest exists. The minutes of the Board of Trustees and Excutive Committee shall contain all proceedings related to conflicts of interest.

The Executive Committee of the board annually reviews and determines the compensation level of the Executive Director using a Minnesota Nonprofit Salary and Benefits survey. The deliberation and decision are documented in the meeting minutes. The process was most recently completed in 2018 for the Executive Director, Sarah Eagle Heart. The Executive Director determines compensation for other employees of the Organization during the annual employment review process. The compensation is based on a Minnesota nonprofit salary and benefits survey. Board members are also made aware of the salries of other employees. This was last completed in 2018.

The Organization is tax-exempt under section 501(c)(3) of the Internal Revenue Code (IRC) and Minnesota statute 290-05. It is classified as an organization that is not a private foundation under section 509(A)(1) of the IRC and contributions by donors are tax deductible. The Organization follows accounting standards for uncertain tax positions and files as a tax-exempt organization. During 2018, the Organization has not recognized any liability or underatin tax postions. The Organization's tax returns are subject to review and examination by federal and state authorities.

IRS990/Desc0Knowledge Sharing: As NAP continues to seeks to change mainstream narratives of Native Americans dominated by harmful stereotypes and racist depictions through centering Native leaders and voices, supported by a cross-cultural network of influencers who leverage their own visibility and platforms to spread indigenous people's messages and advocate for our priorities. We emphasize that Native issues and communities are intertwined with everyone's and that change does include national reckoning with a history of colonization and genocide within a frame of truth, healing and reconciliation. In this spirit, NAP recognizes that truth-telling from an indigenous perspective empowers Native communities and re-centers our voices, and that non-Natives also need to feel empowered to become allies and partners.NAP partnered with Foundation Center to develop a vision for a multi-content web portal featuring deep information about philanthropic funding related to and by Native Americans. The portal filled with grants data, news stories, research, funder insights, and other information will enable users to determine what funding to Native people and issues currently looks like, research best practices in inclusive and strategic grantmaking rooted in Native values, and learn about Native history and issues as critical context for decision-making. This portal will be launched in 2019 will be a more comprehensive online resource for a Native-centered philanthropy community and be the first web portal to provide real time data specific to Native communities ever!Our mainstay knowledge sharing programs include Native culture and context for philanthropy deepen the cultural competence of philanthropic organizations in order to further strategic grantmaking and The Art of Reciprocity (AoR) training provides Native people an opportunity to learn how to close the resource gap empowered with understanding of the inner workings of philanthropy and an indigenized model of reciprocal giving, receiving and sharing.

IRS990/ProgSrvcAccomActy2Grp/Desc0Native Americans in Philanthropy's 2018 National Philanthropy Institute was held on June 13-15, 2018 at the Santa Ana Pueblo in New Mexico. Our National Philanthropy Institute, is a key signature event, intentionally designed to feature Native and non-Native speakers and participants across geographies, sectors, and cultural communities. We had a powerful theme this year, The Movement of Movements: The Healing Worldview of Indigenous Peoples. Key focus areas are: Civic Engagement, Economic Development, Healing, Native Youth, & Research and Data. This event was for staff and board members of organizations in Mainstream Philanthropy, philanthropy-serving organizations (PSO's), Tribal Leaders, Tribal Philanthropy, & Native Program Officers. The event had more than 200 participants. With the National Philanthropy Institute we invited our participants to join us for a special opportunity on June 13th to participate (not just observe) in a traditional Feast Day Celebration on the Sandia Pueblo. Pueblo Feast Days are important days in the year with spiritual and cultural significance. More than 60 people joined us for this special opportunity to learn about the Pueblo Culture and attend a learning session highlighted by local #GenerationIndigenous grant partners.

IRS990/ProgSrvcAccomActy3Grp/Desc0Research: Two new reports were released in June 2018. The first, Strong Hearts and Minds Centering Indigenous Women and Girls in Movement Building. Native women occupy central roles of power and influence in and beyond indigenous communities. They are life givers, healers, culture bearers, and leaders across diverse cultures. Through centuries of colonialism and genocide, Native women have sown the seeds of resistance and resilience: as woman warriors fighting colonization, vocal advocates for indigenous rights and sovereignty, and activists protecting the earth, families and communities. This report re-centers Native women and girls in all of our communities and movement work. The second, "#GenIndigenous Bringing Powerful Minds Together Supporting the Indigenous Lifecourse to Strengthen the Health and Well-being of Native Youth" was also a report that considers how actual Indigenous programs incorporate Lifecourse elements in their work. This report builds on a previous report in which Native American researchers set forth the Lifecourse theory. The Indigenous Lifecourse framework is about helping Indigenous children and youth grow on their own terms as sacred beings, flowering and finding fulfillment in an interconnected world that completes them. Such an experience as seen in the framework can unleash individual as well as collective energy, skills and ideas. The framework presents a philosophy for growing, leading and healing.

This was based on insights and recommendations from a convening co-hosted, with Schott Foundation for Public Education and Nike N7 Fund, the Healthy Living and Learning Native Communities: A Funders Briefing to Expand Health and Education Opportunities for Native Youth in June in Washington, DC to develop a clear, community-driven pathway for philanthropy to increase funding for Native youth health and wellness. NAP also convened a group of Native stakeholders and Native youth groups from around the country for a visioning session to determine the direction of the next phase of Gen-I, 2.0 in November 2017. The group assessed the to- date progress of Gen-I, identified new strategies and developed ongoing goals, clarified different dynamics and roles, and determined next steps for moving into Gen-I 2.0.
