Governance Explanations

All voting board members are distributed a draft copy of the current year form 990 with sufficient time in advance of the filing deadline (including extensions if applicable) with instructions to provide comment and feedback before filing. Accompanying the draft copy, are instructions to confirm that they are independent voting members and that there are no family or business relationships in accordance with part vi (line 2).

Board members and staff are required to annually submit any potential conflicts. Conflicts are addressed by management as considered necessary.

Form 990, Part VI, Section B, Line 15A

A compensation committee made up of 5 members of the amga board, a related organization (all independent), and the organization's legal counsel, annually reviews and approves the compensation of the chief executive officer with the assistance of an outside consulting firm which specializes in executive compensation. This consulting firm compares all aspects of the ceo's compensation package with data from other similar organizations. The consulting firm produces a report on this analysis and presents it to the compensation committee which uses this report to set the ceo's compensation and benefits. A small portion of the ceo's salary is allocated to the foundation as substantiated in time records. Approximately every 3 years but not greater than every 5 years, the consulting firm's analysis includes the key employees of amga, a related organization, whose salaries may be allocated to the foundation. This report is used by the ceo for setting the compensation of these individuals.

PART V, LINE 4:

Lee lectureship fund - $44,920 the lee lectureship was established in 1978 from a restricted donation to the foundation and is awarded to an individual who has provided outstanding service to the group practice of medicine. The foundation established a separate account to recognize the earnings and track the expenses on this restricted purpose until such time as all funds have been expended.

THE 10 AMGA MEMBER GROUPS WERE SELECTED BASED ON THEIR ABILITY TO CONTRIBUTE TO THE FURTHER DEVELOPMENT OF THE FRAMEWORK, TEST MEASURES, AND COMMITMENT TO IMPLEMENT AN OBESITY PROGRAM THAT INCLUDES A MINIMUM RANGE OF SERVICES, EITHER WITHIN THE GROUP OR THROUGH REFERRAL PARTNERSHIP. PARTICIPATING ORGANIZATIONS WILL MEET IN-PERSON FOUR TIMES AND ATTEND MONTHLY EDUCATIONAL WEBINARS TO SHARE INSIGHTS AND CHALLENGES AND TO REFINE THE FRAMEWORK AND MEASURES BASED ON THE DATA AND THEIR EXPERIENCES.

THE CVD COHORT FEATURES 12 GROUPS WHO ARE WORKING TO DEVELOP A FRAMEWORK AND SUCCESS METRICS FOR THE PREVENTION AND MANAGEMENT OF CVD IN PEOPLE WITH DIABETES. THE EYE CARE COHORT FEATURES 10 GROUPS WHO ARE WORKING TO IMPROVE EYE HEALTH IN PEOPLE WITH DIABETES BY IMPROVING THE EXECUTION AND CAPTURE OF CRITICAL EYE EXAMS. PARTICIPATING GROUPS REPORT TOGETHER 2 GOAL CORE TRACK MEASURES (A1C CONTROL, BLOOD PRESSURE CONTROL, LIPID MANAGEMENT, AND MEDICAL ATTENTION TO NEPHROPATHY) AS WELL AS CVD- AND EYE-RELATED MEASURES. THIS GRANT WAS COMPLETED IN 2019.
IRS990/ProgSrvcAccomActyOtherGrp/Desc1ADULT IMMUNIZATION BEST PRACTICES LEARNING COLLABORATIVE - IS A RESEARCH PROJECT DESIGNED FOR ORGANIZATIONS THAT ARE STRIVING TO IMPROVE THEIR ADULT IMMUNIZATION RATES. WORKING TOGETHER, THE PARTICIPATING GROUPS WILL IDENTIFY OPTIMAL AND EFFICIENT WAYS TO IMPROVE ADULT IMMUNIZATIONS, WITH A SPECIFIC FOCUS ON PNEUMOCOCCAL AND INFLUENZA VACCINES. THE PURPOSE OF THIS COLLABORATIVE IS TO INCREASE IMMUNIZATION RATES IN ADULT PATIENTS, WITH A SPECIFIC FOCUS ON PNEUMOCOCCAL VACCINES AND INFLUENZA AT A MINIMUM, THEREBY REDUCING THE CLINICAL AND ECONOMIC BURDEN OF VACCINE PREVENTABLE DISEASES, THROUGH A PILOT PROGRAM. THIS GRANT WAS COMPLETED IN 2019.

AMGA FOUNDATION, THROUGH THIS GRANT, HAS PARTNERED WITH TWO MEDICAL GROUPS WHICH HAVE AGREED TO INCORPORATE THE DPP BENEFIT PREDICTION MODEL INTO THEIR ELECTRONIC HEALTH RECORD (EHR) FOR ACCESSIBILITY AT THE POINT OF CARE AND DISSEMINATE THE EHR-BASED TOOL WITHIN THE ORGANIZATION BEYOND THE PILOT SITE. OUTCOMES, INCLUDING IMPLEMENTATION PROCESS AND PATIENT OUTCOMES, WILL BE BROADLY DISSEMINATED TO AMGA MEMBER ORGANIZATIONS.

THE OBJECTIVE OF THIS PROGRAM IS TO DEVELOP AND IMPLEMENT EVIDENCE-BASED STRATEGIES AND INTERVENTIONS TO IMPROVE HPV VACCINATION RATES IN MULTI-SPECIALTY MEDICAL GROUPS OR INTEGRATED HEALTH SYSTEMS WITH A FOCUS ON ADOLESCENTS. EIGHT HIGH-PERFORMING HEALTH SYSTEMS AND MEDICAL GROUPS ARE PART OF AN ELITE GROUP WITH UNIQUE ACCESS TO NATIONAL LEADERS AND ORGANIZATIONS AT IN-PERSON EVENTS AND DURING ONLINE WEBINARS. THE HPV ROUNDTABLE PROVIDES RESOURCES TO RAISE HPV VACCINATION RATES IN HEALTH SYSTEMS. THE AMGA TEAM WILL MAKE SITE VISITS TO ASSIST ORGANIZATIONS WITH ADAPTING AND IMPLEMENTING INTERVENTIONS AND TO ASSIST WITH TRANSLATING EMERGENT BEST PRACTICES ACROSS PARTICIPANTS.
