Governance Explanations

Form 990, Part VI, Section A, Line 6

Wia has two classes of membership. Members that derive a majority of their revenue from the leasing of macro-site infrastructure shall be known as wireless infrastructure members. All other members other than honorary members shall be known as regular members. Wireless infrastructure members and regular members of the association will have full and equal voting privileges and may participate in association activities as prescribed by these by-laws. Collectively, wireless infrastructure members and regular members shall be known as voting members.

Conflict of interest policy: review of policy: each new responsible person shall be required to review a copy of this policy and to acknowledge in writing that he or she has reviewed and agreed to it. Each responsible person shall annually complete a disclosure form identifying any relationships, positions, or circumstances in which the responsible person is involved that he or she believes could contribute to a conflict of interest arising. Such relationships, positions or circumstances might include service as a director of or consultant to a not-for-profit organization, or ownership of a business that might provide goods or services to wia. Any such information regarding business interest of a responsible person or a family member shall be treated as confidential and shall generally be made available only to the chair and president, except to the extent additional disclosure is necessary in connection with the implementation of this policy. This policy shall be reviewed annually by each member of the board of directors. Any changes to the policy shall be communicated immediately to all responsible persons. Procedures: before board or committee action on a contract or transaction involving a conflict of interest, a director having a conflict of interest and who is participating in the meeting shall disclose all facts material to the conflict of interest. Such disclosure shall be reflected in the minutes of the meeting. A director who plans not to attend a meeting at which he or she has reason to believe that the board or committee will act on a matter in which the person has a conflict of interest shall disclose to the chair of the meeting all facts material to the conflict of interest. The chair shall report the disclosure at the meeting and the disclosure shall be reflected in the minutes of the meeting. A person who has a conflict of interest shall not participate in or be permitted to hear the board's discussion of the matter except to disclose material facts and to respond to questions. Such person shall not attempt to exert his or her personal influence with respect to the matter, either at or outside the meeting. In the event it is not entirely clear that a conflict of interest exists, the individual with the potential conflict shall disclose the circumstances to the chair who shall determine whether there exists a conflict of interest that is subject to this policy.

Form 990, Part III, Line 2

Ohio 5g contract: wia was selected by ohio state university to serve as the industry intermediary for ohio's broadband and 5g sector partnership (partnership). In this role, wia will work in collaboration with ohio state to lead the partnership, which is funded by a grant awarded to the university by the ohio department of higher education. As the industry intermediary, wia will convene industry, government and academia to identify and address broadband workforce challenges. The association works in collaboration with ohio state to create industry-focused curriculum on broadband and 5g technologies, provide industry-informed insight and assist with educational and workforce development programs from planning through execution phases. Ysu arc contract: the appalachian regional commission (arc) created a grant to help the regional economy become more competitive by putting in place the building blocks for self-sustaining economic development, while continuing to provide special assistance to the region's most distressed counties and areas. The wireless infrastructure association (wia) entered into an agreement with youngstown state university (ysu) to deliver training content and provide association support for the 5g readiness credentials that wia developed in relation to the arc grant that ysu received on october 17, 2022. Ysu is the prime recipient of the arc grant to scale and sustain 5g readiness training program in the appalachia region. Mdcp south africa: the wireless infrastructure association (wia) was awarded a grant from the u.s. Department of commerce through the international trade administration's market development cooperator program (mdcp) for its "roadmap to 5g success" project, which is designed to accelerate 5g deployment in south africa, thereby increasing business for u.s.-based companies. Through the project, wia will deliver training to the local, state, and central government staff and academic community in south africa, helping them better understand the 5g ecosystem and learn best practices for efficient 5g rollout. The mdcp award will also fund training for these stakeholders to learn fundamentals of broadband and 5g through the telecommunications education center, wia's dynamic learning program which offers instructor-led classroom learning, elearning, and live webinars. Mdcp awards are designed to remove trade barriers and help u.s. Firms to export.

PART X, LINE 2:

Wia is exempt from income taxes under section 501(c)(6) of the internal revenue code (the code). Income from non-exempt functions, including advertising, is subject to income taxes to the extent that revenue exceeds related costs. No provision has been made for income taxes in the accompanying consolidated financial statements because wia did not generate net unrelated taxable income during either 2022 or 2021. Wia foundation is exempt from federal income tax under the provisions of section 501(c)(3) of the code. In addition, wia foundation qualifies for the charitable contributions deduction and has been classified as an organization that is not a private foundation. There was no taxable income for the years ended december 31, 2022 and 2021; accordingly, no provision has been made for income taxes in the accompanying consolidated financial statements. Wia pac is exempt under section 527 of the code from paying income taxes except on net income from any activity that is not within the exempt function of influencing the selection, nomination or election of individuals to public office. There was no income tax expense for the years ended december 31, 2022 and 2021.

IRS990/ProgSrvcAccomActyOtherGrp/Desc0DOL CONTRACT: THE U.S. DEPARTMENT OF LABOR (DOL) AWARDED WIA WITH A MULTI-MILLION-DOLLAR CONTRACT AS THE NATIONAL SPONSOR OF THE TELECOMMUNICATIONS INDUSTRY REGISTERED APPRENTICESHIP PROGRAM (TIRAP). THE OBJECTIVE OF THE FUNDING IS TO EXPAND THE INDUSTRY'S MULTI-EMPLOYER APPRENTICESHIP MODEL TO MEET EMPLOYERS' OCCUPATIONAL AND SKILLS DEVELOPMENT NEEDS. THE CONTRACT WILL ENABLE WIA TO ASSIST EMPLOYERS IN DEVELOPING OVER 600 APPRENTICES IN THE NEXT YEAR WITH MULTI-YEAR OPTIONS TO RENEW THEREAFTER. TRAINING AND EDUCATION: THE WIRELESS INFRASTRUCTURE ASSOCIATION OFFERS TRAINING AND EDUCATION OPPORTUNITIES TO EQUIP A SKILLED WORKFORCE SO THEY CAN BUILD AND MAINTAIN CURRENT AND FUTURE WIRELESS NETWORKS. WIA OFFERS IN-HOUSE LEARNING PROGRAMS AS WELL AS APPRENTICESHIP OPPORTUNITIES IN PARTNERSHIP WITH THE TELECOMMUNICATIONS INDUSTRY AND FEDERAL AGENCIES.SPECTRUM MANAGEMENT: COORDINATE THE USE OF WIRELESS MOBILE COMMUNICATION SYSTEMS AND FREQUENCIES.MEMBERSHIP: TRADE ASSOCIATION FOR THE WIRELESS INFRASTRUCTURE INDUSTRY; PROVIDING PROGRAMS AND SERVICES TO ADDRESS INDUSTRY NEEDS.TELECOMMUNICATIONS INDUSTRY REGISTERED APPRENTICESHIP PROGRAM (TIRAP ): BUILT BY AND FOR TELECOMMUNICATIONS EMPLOYERS, TIRAP IS A COMPETENCY-BASED APPRENTICESHIP AIMED AT GROWING THE PRODUCTIVITY OF THE WORKFORCE AS DIRECTLY AS POSSIBLE. TIRAP DEFINES CAREER PATHS IN A GROWING NUMBER OF CRITICAL OCCUPATIONS, INCLUDING TOWER TECHNICIANS, WIRELESS TECHNICIANS, AND UTILITIES WORKERS, ALONG WITH LEADS AND FOREMEN. BY ESTABLISHING ON-THE-JOB TRAINING AS WELL AS CLASSROOM LEARNING, THESE APPRENTICESHIPS HELP YOU ONBOARD AND UPSKILL YOUR WORKERS. THIS LEADS TO BETTER EFFICIENCY AND SAFETY -PLUS HIGHER EMPLOYEE ENGAGEMENT AND RETENTION. POWERED BY THE WIRELESS INFRASTRUCTURE ASSOCIATION AND WITH PARTNERS ACROSS THE COUNTRY, TIRAP PROVIDES TRAINING RESOURCES, SUPPORT, AND ACCESS TO INCENTIVE FUNDING FOR OUR MEMBERS AND OTHER TELECOMMUNICATIONS COMPANIES. THIS REGISTERED APPRENTICESHIP PROGRAM LEADS TO A NATIONAL CREDENTIAL RECOGNIZED BY THE U.S. DEPARTMENT OF LABOR.CENTER OF EXCELLENCE: THE DEPARTMENT OF LABOR AWARDED $7 MILLION TO A CONSORTIUM OF ORGANIZATIONS LED BY HOUSTON'S SAFAL PARTNERS, WHICH INCLUDES WIA, TO DEVELOP A REGISTERED APPRENTICESHIP CENTER OF EXCELLENCE IN SUPPORT OF STRATEGIC PARTNERSHIPS AND SYSTEM ALIGNMENT. THIS CENTER SEEKS TO SUPPORT THE INCREASE IN THE USE OF REGISTERED APPRENTICESHIP AS A KEY WORKFORCE DEVELOPMENT PROGRAM, INCLUDING EFFORTS TO CREATE PIPELINES (SUCH AS PRE-APPRENTICESHIP AND OTHER CAREER PATHWAYS) THAT CAN INCREASE THE DIVERSITY AND INCLUSION OF APPRENTICES, AMONG OTHER PRIORITIES. WIA WORKS WITH THE SAFAL PARTNERS-LED CONSORTIUM TO CONVENE AND GATHER INPUT FROM TELECOMMUNICATIONS AND RELATED INDUSTRY SECTORS NATIONWIDE.OHIO 5G CONTRACT: WIA WAS SELECTED BY OHIO STATE UNIVERSITY TO SERVE AS THE INDUSTRY INTERMEDIARY FOR OHIO'S BROADBAND AND 5G SECTOR PARTNERSHIP (PARTNERSHIP). IN THIS ROLE, WIA WILL WORK IN COLLABORATION WITH OHIO STATE TO LEAD THE PARTNERSHIP, WHICH IS FUNDED BY A GRANT AWARDED TO THE UNIVERSITY BY THE OHIO DEPARTMENT OF HIGHER EDUCATION.
