“All full-time members of vcu dentistry that are licensed in the commonwealth of virginia, hold a.d.a recognized dental degrees, are engaged in the practice of dentistry in virginia and have entered into a written employment agreement with the corporation, are eligible to become members of dentistry @ vcu. Faculty who have retired from full-time employment in the school of dentistry having completed at least 10 years of full-time service will be allowed to participate as members.”

“Each member is entitled to one vote on each matter brought before the corporation. The president is appointed by and annually reviewed by the board of directors. The officers of the corporation shall consist of a president and a secretary. The president and secretary shall be appointed by the board and shall hold office until he or she resigns, is removed, or is unable to serve as president or secretary. Each officer of the association must be a full-time member of the faculty or staff of the school or a full-time employee of the association.”

A quorum being present, other than in the election of directors, the voting requirements for which are set forth in article iv, the vote of a majority of the members present in person or by authorized written proxy shall be necessary for the adoption of any matter voted upon by the members, unless a greater proportion is required by the articles or by law. A member may appoint a proxy to vote or otherwise act for the member by signing an appointment form or by an electronic transmission.”
