“All full-time members of vcu dentistry that are licensed in the commonwealth of virginia, hold a.d.a recognized dental degrees, are engaged in the practice of dentistry in virginia and have entered into a written employment or independent contractor agreement with the association, are eligible to become members of dentistry @ vcu. Faculty who have retired from full-time employment in the school of dentistry having completed at least 10 years of full-time service will be allowed to participate as members.”

“Each member is entitled to one vote on each matter brought before the association. The president is appointed by and annually reviewed by the board of directors. The secretary is the member of the board of directors receiving the greatest number of votes in the election by the members. The board of directors consists of the dean or acting dean of the school of dentistry and four members of the association elected by the members of the association. At least one, but not more than three, additional directors, who are not members of the association, are also appointed to the board of directors by the vote of the dean and the four elected directors. Directors may be removed only for cause, as specified in the bylaws.”

“A quorum at any meeting of the members, will exist if at least a majority of the members are present in person or by authorized written proxy. The vote of a majority of the vote entitled to be cast by the members is necessary for the adoption of any matter voted upon by the members unless a greater proportion is required by law.”

“The accountant receives the 990 from the accounting firm, reviews the return, clarifies anything that he cannot understand, and reviews the return with the president. He then signs the return and the 990 is sent to the irs.”

“The president's compensation is determined by independent persons.”
