The organization amended its bylaws to include additional, non-voting members to the board of trustees. An updated copy of the organization's bylaws are available upon request.

A draft of form 990 is given to all board memebers for review before being approved by the director of finance for filing.

Form 990, Part VI, Section B, Line 12C

All board members are required to sign a conflict of interest statement each year. All employees are required to sign a conflict of interest policy as a part of their job contract. The major area that is a part of the employment contract is a covenant not to compete or perform the same type of work within a certain range of area while under contract with the school and also for a certain time after termination of employment.

The board is authorized to set the compensation of the head of school and the head of school is authorized by the board to increase the salaries of employees. The board follows a policy of increase in compensation of head of school based on average increase in salaries of all the employees of the school. The head of school uses performance criteria for increases in employees salaries.

The school does not have any arrangements to make its governing documents, conflict of interest policy or financial statements avaialble to the general public. However, these documents are made available to the parties who request them.

The endowment was established by the morgan foundation to provide student financial aid.

PART X, LINE 2:

Cba is exempt from federal income taxes under section 501(c)(3) of the internal revenue code, except on net income derived from unrelated business activities. Internal revenue code section 513(a) defines an unrelated trade or business of an exempt organization as any trade or business which is not substantially related to the exercise or performance of its exempt purpose. Currently cba has no obligation for any unrelated business income tax. Cba believes it has appropriate support for any tax positions taken, and as such, does not have any uncertain tax positions that are material to the financial statements. Cba's federal return of organization exempt from income tax (form 990) for the years ended prior to june 30, 2012 are generally not subject to examination by the irs.
