Governance Explanations

Form 990, Part VI, Section A, line 4

On June 28, 2016, the Board of Directors of USTA Mid-Atlantic Section, Inc. (USTA MAS) and Mid-Atlantic Tennis & Education Foundation, Inc. (MATEF) approved a plan of merger. Through the combination of the operations of USTA MAS and MATEF, the organizations seek to further their common mission of promoting tennis activities and education, as well as achieving economies of scale and other synergies through integrating their work. Under the terms of the Agreement, USTA MAS was merged into MATEF. As of the Merger Effective Date of July 17, 2016, the separate corporate existence of USTA MAS ceased and MATEF became the sole surviving legal entity, which was immediately renamed USTA/Mid-Atlantic Section, Inc. and continues its corporate existence governed by the Virginia Nonstock Corporation Act.

Membership in USTA MAS consists of USTA member clubs and organizations and individuals in good standing within the USTA MAS boundaries as provided under the USTA Bylaws.

A copy of the Form 990 is first reviewed by the Chief Executive Officer. Upon the CEO's approval, it is reviewed by the Treasurer and the President and then forwarded to the full Board of Directors for review prior to submission.

Each director and officer is required to review a copy of the conflict of interest policy, which requires each person to disclose any relationships, positions or circumstances in which he or she believes could contribute to a conflict. Following full disclosure of a possible conflict of interest, the Board of Directors shall determine whether an actual conflict of interest exists and, if so, the Board shall vote to authorize or reject the transaction or take any other action deemed necessary to address the conflict and protect the Section's best interests.

The salary for the Section's Chief Executive Officer was reviewed by the Mid-Atlantic Section's executive review committee and approved by the full Board of Directors. These decisions are documented contemporaneously in the committee meeting notes and the Board meeting minutes. Salary decisions for all employees are made using comparability data for similar positions in comparable organizations.

Adult Programs: Nearly 20,000 people play USTA Mid-Atlantic Adult League Tennis each year. These recreational leagues are offered for all ages and ability levels in a fun, social and competitive environment. Many of the leagues advance to Regional, Sectional and in some cases National Championships. Adult Recreation and Social tennis: USTA MAS offers recreational and social tennis opportunities for adults that provide a platform for networking, socializing, learning (or getting a refresher on) the game, physical activity and fun. Our programs range from adult beginner to customized programs for young professionals and Masters (seniors) players. Volunteer Committees and Councils: USTA MAS provides several volunteer opportunities for individuals to give back to the sport they love. Volunteering offers one the opportunity to get further involved in the organization and support the growth of tennis. This includes serving on committees, volunteering at events and tournaments, coaching opportunities, and serving in leadership roles such as our Board of Directors. Youth Programs: The Youth Tennis Progression serves as a guide for coaches, parents and players to help ensure that kids 10 and under participate in events using the appropriate ball and court for their skill level. Players compete at appropriate levels of play as they progress through stages based on age, participation and achievement. By providing a pathway, young players have the opportunity to experience suitable levels of competition as well as develop their game tactically and technically. The progression tracking system rewards players for competing and inspires them to play more often. It's not just about winning and losing - it's about having fun, engaging young children and helping them fall in love with tennis. USTA Mid-Atlantic launched the new progression June 2016. Junior Tournaments: USTA Mid-Atlantic works to ensure there is local tennis competition for youth of all abilities. There's local competition at all levels: entry-level, intermediate and advanced. And as players advance, there is opportunity to compete at national-level tournaments. USTA Junior Tournaments are offered in a variety of formats, including individual, team, non-elimination and elimination. A wide variety helps players gain experience and compete at a level they are comfortable. Junior Team Tennis: USTA Junior Team Tennis (JTT) is a fun, recreational tennis league for ages 6 to 18 and all skill levels - beginners to tournament level juniors. JTT is a combination of practice and match play with an emphasis on skill development, fun, teamwork and friendly competition. In the local season, teams compete against others of similar age and ability level. Teams can choose to participate in a Championship series and try to advance all the way to a national championship.

Community Programs and Diversity & Inclusion Efforts: Activities include building relationships with community tennis associations to support growth, aligning with park and recreation departments and supporting other community based tennis opportunities and events to introduce the game broadly. USTA Mid-Atlantic promotes a message of acceptance, respect, and inclusion. We aim to leverage our members' diverse backgrounds and perspectives to remove barriers to play and thereby increase participation and expand opportunities that will promote community-level engagement throughout the Section. Our efforts include engaging with diverse populations to make tennis accessible, working with partners to serve underserved and underrepresented communities and creating programs that empower and inspire through tennis such as our Girls Rule the Court program.
