Governance Explanations

Form 990, Part VI, Section B, Line 11

Form 990 is reviewed by the executive director with external auditors. Any modifications to form 990 are resolved prior to filing. The treasurer and each voting member of the board receives a copy of the final form 990 prior to the filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is reviewed with the board of directors on an annual basis. The executive director and the board monitor and enforce the policy by holding all business and governance transactions up for scrutiny against the conflict of interest policy. Conflicts are reviewed by the entire board, absent the director or party who has the conflict of interest.

Form 990, Part VI, Section B, Line 15A

The pregnancy centers of central virginia utilizes the resources of care net to provide guidance for the approved salary of the executive director position. Care net provides support to the largest network of pregnancy centers in north america. Care net collaborated with heartbeat international to conduct their biennial salary survey using a total of 550 care net pregnancy centers and collects the salary data for nine of the most common employment positions in pregnancy centers. These 550 centers participate in the online survey, representing nine regions across the united states. The data in this survey reflect the salaries paid at pregnancy centers throughout the care net network. All salary data is reported in averages. Average salaries are given for each of the nine positions based on budget size as well as geographical region. States are grouped in regions according to guidelines established by the u.s. Census bureau. Reported salaries do not include medical benefits or other fringe benefits. Salaries are also broken down between full-time and part-time positions. Average hours worked are reported for each part-time position, both salaried and hourly. The most reported position was that of the executive director with 537 respondents. These survey results represent the 2015 survey produced by care net and heartbeat, which is the most current survey available. The pregnancy centers of central virginia utilizes the care net survey along with other geograhpic data for similar positions in the central virginia area to set the executive director's salary. The officers of the organization shall consist of a president, vice-president, secretary, and a treasurer. No officer of the pregnancy centers of central virginia shall receive directly or indirectly any salary or compensation.

Form 990, Part VI, Section C, Line 18

The center's form 1023 and form 990 are stored at the center's administrative office and are available upon request.

Form 990, Part VI, Section C, Line 19

The governing documents, conflict of interest policy, and audited financial statements can be distributed to the public upon request. However, requests are subject to the approval of the executive director and the center's consideration of the intended use of the requested documents.

Additional Explanations

From 990 Part XII, Line 2C

The organization has a budget and audit review committee that is responsible for the oversight of the audit and selection and retention of independent auditors. The process has not changed from the prior year.

Financial Statement Notes

PART X, LINE 2:

The organization has reviewed and evaluated the relevant technical merits of each of its tax positions in accordance with guidance established by the financial accounting standards board ("fasb") and determined that there are no uncertain tax positions that would have a material impact on the financial statements of the organization. The federal and state income tax returns of the organization for the years ended december 31, 2013, 2012, and 2011 are subject to examination by the internal revenue service and the virginia department of taxation, generally for three years after they are filed.
