Governance Explanations

Form 990, Part VI, Section B, Line 11

The 990 is reviewed in detail by the finance committee prior to filing. The full board is sent an electronic copy of the 990 before it is filed soliciting any comments or concerns. Once all of this has been done and the 990 is completed to the treasurer's (a cpa who is a voting, independent, unpaid board member) satisfaction, he signs the return.

Form 990, Part VI, Section B, Line 12C

1) all officers and board members are required to file a disclosure form annually listing all potential conflicts of interest. This form is also required to be updated during the year if there are any changes. 2) if the board must take any actions, any member having a potential conflict of interest is required to recuse themselves from the discussion and vote on the action.

Form 990, Part VI, Section B, Line 15

During fiscal year 2015, an independent consulting firm was hired by the board of directors to review all salary levels for all employees including the president and all senior executives. This information was then reviewed by the executive committee and compensation levels for the ceo and other key employees were approved.

Form 990, Part VI, Section C, Line 19
