After changes are made the 990 is reviewed by the audit committee and provided to the full board of directors, after which the 990 is submitted to the irs by analytic services inc.”

“Anser's conflict of interest and related party transactions policy and procedure applies to directors, officers and "key persons" of anser or a related organization ("covered persons"). The policy requires prior disclosure of transactions that might give rise to conflict with a financial or personal interest of a covered person. Covered persons are required to disclose such transactions in advance to an independent committee of the board of directors which determines whether the transaction is (i) in the company's best interests, (ii) for the company's own benefit and (iii) fair and reasonable to the company. The committee makes a recommendation to the board. Covered persons with an interest in any matter under review are not permitted to be present at or participate in any deliberations or voting with respect to the matter giving rise to the potential conflict. Such deliberations and the decision are recorded in the meeting minutes. Covered persons annually complete and submit to the company's general counsel a questionnaire concerning conflict and interest and affiliations.”
