Governance Explanations

Form 990, Part VI, Section A, line 6

Scott County Telephone Cooperative operates on the cooperative basis having members with equal voting rights and are assigned margins in accordance with the cooperative's bylaws.

Form 990, Part VI, Section A, line 7A

Members elect the governing body (Board of Directors) at the annual meeting, on an annual basis. The members of Scott County Telephone Cooperative also have the right to approve certain decisions of the Board of the Directors that are required to be approved by the Bylaws.

Form 990, Part VI, Section A, line 7B

The membership must approve decisions that involve substantial transfers of cooperative assets, amendments to the cooperative's bylaws, as well as other decisions requiring approval of the membership by law, the articles of incorporation, and/or the cooperative's bylaws.

Form 990, Part VI, Section B, line 11

The Form 990 was reviewed extensively by the Chief Financial Officer before the return was filed. Each member of the board of directors was given notice before the Form 990 was filed with the Internal Revenue Service that a copy of the completed Form 990 was available for his/her review at the cooperative's headquarters.

Form 990, Part VI, Section B, line 15

Utilizing salary data from the NTCA as well as the cooperative's financial data, the board of directors determines and approves compensation as well as raises for the Chief Executive Officer. Compensation for other officers and employees is determined using a pay scale based on the NTCA Compensation and Benefits survey. The Human Resource Manager reviews the compensation for the other officers and employees. The board of directors approves the compensation of these individuals when it reviews and approves the annual budget.

Additional Explanations

Form 990, Part IX, Line 4

The instructions to the 2014 Form 990 indicate that organizations exempt under Section 501(c)(12) should report patronage dividends paid to their members in Part IX, Line 4 of the Form 990. Scott County Telephone Cooperative has interpreted the words "patronage dividends paid" in the instructions to mean margins that are assigned or assignable to the members. Scott County Telephone Cooperative assigns the net margins to its members each year. Therefore, the amount listed in Part IX, Line 4 represents the net margins assigned/assignable to the members for the calendar year ended December 31, 2014.

Financial Statement Notes

Part X, Line 2:

Income taxes - The Cooperative is exempt from income taxes under the Internal Revenue Code Section 501(c)(12). For federal and state income tax purposes, the Cooperative's subsidiary, SCTC Management Group, Inc., files a consolidated income tax return including its subsidiaries. The Cooperative accounts for income taxes in accordance with the Income Taxes Topic of the FASB Accounting Standards Codification. This topic requires companies to record deferred tax liabilities or assets for the deferred tax consequences of all temporary differences. Deferred taxes are provided on the liability method whereby deferred tax assets are recognized for deductible temporary differences and operating loss and tax credit carryforwards, and deferred tax liabilities are recognized for taxable temporary differences. Temporary differences are the differences between reported amounts of assets and liabilities and their tax bases. Deferred tax assets are reduced by a valuation allowance when, in the opinion of management, it is more likely than not that some portion or all of the deferred tax assets will not be realized. Deferred tax assets and liabilities are adjusted for the effects of changes in tax laws and rates on the date of enactment. Management evaluated the Cooperative's tax positions and concluded that the Cooperative had taken no uncertain tax positions that require adjustment to the financial statements. With few exceptions, the Cooperative is no longer subject to income tax examinations by the federal, state, or local tax authorities for years before 2011.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0Income taxes - The Cooperative is exempt from income taxes under the Internal Revenue Code Section 501(c)(12). For federal and state income tax purposes, the Cooperative's subsidiary, SCTC Management Group, Inc., files a consolidated income tax return including its subsidiaries. The Cooperative accounts for income taxes in accordance with the Income Taxes Topic of the FASB Accounting Standards Codification. This topic requires companies to record deferred tax liabilities or assets for the deferred tax consequences of all temporary differences. Deferred taxes are provided on the liability method whereby deferred tax assets are recognized for deductible temporary differences and operating loss and tax credit carryforwards, and deferred tax liabilities are recognized for taxable temporary differences. Temporary differences are the differences between reported amounts of assets and liabilities and their tax bases. Deferred tax assets are reduced by a valuation allowance when, in the opinion of management, it is more likely than not that some portion or all of the deferred tax assets will not be realized. Deferred tax assets and liabilities are adjusted for the effects of changes in tax laws and rates on the date of enactment. Management evaluated the Cooperative's tax positions and concluded that the Cooperative had taken no uncertain tax positions that require adjustment to the financial statements. With few exceptions, the Cooperative is no longer subject to income tax examinations by the federal, state, or local tax authorities for years before 2011.

The Human Resource Manager reviews the compensation for the other officers and employees. The board of directors approves the compensation of these individuals when it reviews and approves the annual budget.
