The federal city council (fcc) was organized in 1954 for the purpose of enhancing washington, d.c. By serving as a catalyst for progress. Fcc uses the creative and administrative talents of the district's business and professional leaders on solving the major problems facing metropolitan d.c.

Governance Explanations

Form 990, Part VI, Section A, Line 1

The officers group is composed of a chair, president, ceo, treasurer, secretary and multiple vice presidents. The officer group shall: (a) work through the ceo to see that orders and resolutions of the executive committee are carried into effect; (b) propose to the executive committee policy objectives of the council; (c) propose to the executive committee, by june 1 of each year, a budget for the following fiscal year; (d) propose to the nominating committee, at least 30 days prior to the annual meeting, nominees for the executive committee; (e) review the performance of the ceo at least annually; and (f) perform such other duties as may from time to time be prescribed by the executive committee.

Washington trustees are the active voting members of the council and shall constitute its board of trustees.

Form 990, Part VI, Section A, Line 7A

There shall be a membership committee consisting of a chairman and at least 6 other washington trustees appointed by the executive committee. The membership committee shall consider, and make recommendations to the executive committee with respect to, all matters affecting the membership of the council, including, but not limited to, new candidates for election as trustees, assignment of washington trustees to the sub-classifications respecting financial support of the council and such other issues regarding membership as shall be designated by the executive committee, the board of trustees.

Decisions are ratified annually by membership. The budget is approved the membership, and the bylaws, executive compensation, and officers are approved by the members.

The conflict of interest policy is reviewed and signed by officers and employees on an annual basis. The conflict of interest policy provides the following procedures: 1) duty to disclose, 2) determining whether a conflict of interest exists, 3) procedures for addressing the conflict of interests, 4) violations of the conflict of interest policy, and 5) minutes.

The process to review compensation for the office of "chief executive officer" of the federal city council includes a performance evaluation by the compensation committee and the executive committee and subsequently approved in an overall budget approval process by the board of trustees. Performance benchmarks are evaluated annually. The performance of the coo and deputy executive director is reviewed annually by the ceo and their compensation is approved by the officers group.

Financial Statement Notes

PART X, LINE 2:

The council is exempt from income taxes under section 501(c)(3) of the internal revenue code (irc) and is classified as other than a private foundation within the meaning of section 509(a)(1) of the irc. Accordingly, no provision for income taxes has been made in the accompanying financial statements. Management believes that it has no material uncertain tax positions that would require recognition under the accounting codification guidance. Returns for fiscal years 2010 through 2012 remain subject to examination by federal and various state tax jurisdictions.

AS A REPRESENTATIVE EXAMPLE OF OUR EFFORTS IN ONE OF THESE AREAS, TO PROMOTE THE UTILIZATION OF PUBLIC PRIVATE PARTNERSHIPS, WE WORKED WITH THE DC COUNCIL TO INTRODUCE AND ADVANCE THE DISTRICT OF COLUMBIA PUBLIC-PRIVATE PARTNERSHIP ACT OF 2014 AS PART OF A BROADER STRATEGY TO INCREASE THE LEVEL OF INVESTMENT IN OUR PUBLIC INFRASTRUCTURE. WE ORGANIZED A SERIES OF ROUNDTABLES WITH DC AND INDUSTRY EXPERTS TO TEST THE ASSUMPTIONS AND POLICIES INCORPORATED IN THE LEGISLATION AND BEGAN PREPARING A SERIES OF WHITE PAPERS TO FRAME THE POLICY DISCUSSIONS AROUND P3S GOING FORWARD. WE PURSUED SIMILAR RESEARCH, ANALYTICAL AND EDUCATIONAL EFFORTS TO PROMOTE OUR OTHER GOALS THROUGHOUT THE YEAR.
