Governance Explanations

Form 990, Part VI, Section A, Line 6

Membership in the association is open to any person interested in history. Only members in good standing shall have the right to vote or hold office in the association. The council of the association may also elect honorary members of the association.

Form 990, Part VI, Section A, Line 7A

Only members in good standing shall have the right to vote or hold office in the association. There shall be an annual election for the offices of president, president-elect; a vice-president; and members of the divisions, nominating committee, committee on committees; and the unexpired term of any elected position that is vacant. The annual ballot shall be distributed to the full membership of the association by june 1. No vote received after the due date specified on the ballot shall be valid. Election shall be by plurality of the votes cast for each vacancy. The results of the election shall be announced at the business meeting and in the publications of the association. In the case of a tie vote, a coin flip shall determine the winner. The nominating committee shall act as the supervisor of any election and all issues relating to any election shall be referred to it for final decision. The association staff shall keep all records of elections in a secure place for a period of not less than three years.

A copy of the form 990 is circulated to the council of the association via website portal prior to being filed with the irs.

On an annual basis, all officers and council members review the conflict of interest policy and completes and signs a conflict of interest disclosure form, in which he/she identifies potential conflicts of interset or states that there are none. If there is a potential conflict of interest, the council member recuses himself/herself from discussions and votes on that matter. Conflicts of interest are determined by the council based on the organization's conflict of interest policy.

The council determines the executive director's compensation based on their knowledge of salaries in the nonprofit and higher education arenas. The organization's council receives a salary survey of comparable nonprofits annually to help determine the executive director's compensation. The executive director sets staff salaries within the budget approved by the council.

In june of 2018, the aha offered the first annual department chairs' workshop in chicago. Experienced chairs lead sessions and hosted collaborative breakout conversations addressing a wide range of issues specific to chairing in the discipline across a variety of institutional contexts. Thirty-nine department chairs and six facilitators attended the two day event. The workshop was considered a great success and the aha is in the process of planning the 2019 chairs' workshop.
