Conflict of Interest Policy

“On an annual basis, each council member reviews the conflict of interest policy and completes and signs a conflict of interest disclosure form, in which he/she identifies potential conflicts of interest or states that there are none. If there is a potential conflict of interest, the council member recuses himself/herself from discussions and votes on that matter.”

Executive Compensation

“The council determines the executive director's compensation based on their knowledge of salaries in the nonprofit and higher education arenas. The executive director sets staff salaries within the budget approved by the council.”

Council Meeting Minutes

“The council documents the minutes of each meeting. Meeting minutes are reviewed and approved at the next council meeting.”

“The association's governing documents, conflict of interest policy, tax returns, and financial statements are available to the public upon request.”

Governing Document Changes

“The AHA Council has approved the following changes to the AHA bylaws regarding the removal of committee members and the approval of exceptions to committee term start dates, effective June 3, 2017. Attached are the updated bylaws. 13. Bylaw pursuant to Article VIII: All AHA committee members are subject to removal based on the non-performance of duties as outlined in relevant committee documents. Upon the recommendation of the committee chair or staff liaison, the committees appointive body can by a 2/3 vote remove a member of the committee for non-performance of assigned duties. Before making such a recommendation, the committee chair or staff member must give the non-performing committee member a warning in writing, pointing out the ways performance has been insufficient, and indicating how performance can be improved. 16. Bylaws pursuant to Article IX, Sections 13: (7) All persons elected to Association office in the annual election shall assume office at the conclusion of the next annual business meeting. The Council may approve exceptions to the term start date based on the needs of a particular committee.”
