Mission

The american bus association is the trade association uniting like no other travel trade group the motorcoach, tourism, group travel and equipment segments of the travel community. In that role, aba acts to expand the scope of bus service to those with access to no other travel choice, fill in intermodal gaps in the network of transportation services, educate groups of all ages through experiential trips that take them to iconic and historical destinations, and to infuse tourism dollars into every attraction a group tour visits by bus. Aba also seeks to educate policy-makers, the media and consumers about the attributes of motorcoach travel as the safest, greenest, most cost-effective and hassle-free transportation choice.

To represent the u.s. Bus industry in washington, d.c.; to facilitate relationships between the north american motorcoach industry and all related segments of the travel and supplier industry; and to create awareness of the motorcoach industry among consumers in north america.

Aba represents approximately 1,000 motorcoach and tour companies in the united states and canada. Its members operate charter, tour, regular route, airport express, special operations and contract services (commuter, school, transit). Another 2,800 member organizations represent the travel and tourism industry and suppliers of bus products and services who work in partnership with the north american motorcoach industry.

On occasion, there are special items that are considered by the board at the board's discretion that may require vote of approval from the membership. If it is determined that the membership should vote on these special items, then a special meeting shall be called. With respect to each annual or special meeting called by the board of directors, the board shall determine the class or classes of members eligible to attend. Written or printed notice of each annual or special meeting of the association stating the time, place and object thereof, shall be given to each eligible member in good standing as shown by the records of the secretary of the association by such methods as allowed by law at least thirty (30) days before the date on which the meeting is to be held. No publication of any notice of a meeting of the association shall be required. If any member shall sign a written waiver of notice of any meeting, either before or after the meeting, such waiver shall be deemed equivalent to notice. All eligible members in good standing, present at any annual meeting or special meeting, shall be entitled to vote. At all meetings of the association, the presence of one-tenth of the eligible votes shall constitute a quorum for the transaction of business. If such quorum shall not be present, the members entitled to vote thereat, represented in person, and shall have power to adjourn the meeting from time to time, without notice other than announcement at the meeting, or until a quorum shall be represented. At such adjourned meetings at which a quorum shall be present or represented, any business may be transacted which might have been transacted at the meeting as originally notified.

Aba does not provide a copy of the full form 990 to its board for review prior to filing. Aba has quarterly board meetings and provides access to all of the information that is incorporated into the final form 990 including such information as employee compensation, insurance policies, and audited financial statements at each meeting. The board has full access to the final form 990 following its filing as does every member of the public.

The process for overseeing the audit of the financial statements and selection of an independent accountant that audited the financial statements has been consistent with prior years.

Financial Statement Notes

PART X, LINE 2:

The association is generally exempt from federal income taxes under the provisions of section 501(c)(6) of the internal revenue code. Income, which is not related to exempt purposes, less applicable deductions, is subject to federal and state corporate income taxes. The association did not have any net unrelated business income for the years ended december 31, 2014 and 2013. The association follows the accounting standard on accounting for uncertainty in income taxes, which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this guidance, the association may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities, based on the technical merits of the position. The tax benefits recognized in the financial statements from such a position are measured based on the largest benefit that has a greater than 50 percent likelihood of being realized upon ultimate settlement. The guidance on accounting for uncertainty in income taxes also addresses de-recognition, classification, interest and penalties on income taxes, and accounting in interim periods. Management evaluated the association's tax positions and concluded that the association had taken no uncertain tax positions that require adjustment to the financial statements to comply with the provisions of this guidance. Generally, the association is no longer subject to income tax examinations by the u.s. Federal, state or local tax authorities for years before december 31, 2011.
