The executive committee has the powers of the board of trustees when the board is not in session. The executive committee must report its actions to the board at the next succeeding board meeting and seek ratification of its actions.”

“The foundation has no employees and, as a result, has entered into a management agreement with a related organization, the professional convention management association, to provide all personnel and administrative services under this management agreement. The foundation delegates all management duties to the professional convention management association staff assigned to the foundation's operations and administration.”

“The sole corporate member of the foundation for the professional convention management association is the professional convention management association.”

“The chair and chair-elect of the board of directors of the professional convention management association are automatically appointed to the foundation's board of trustees. The president & ceo of the professional convention management association is also automatically appointed to the foundation's board of trustees. Two additional trustees are appointed by the board of directors of the professional convention management association.”

“The form 990 is reviewed in detail by management staff of the professional convention management association.”

“Board members are required to execute a conflict of interest statement for each year serving on the board. This statement includes their acknowledgment to inform the chair in writing of any change in their circumstances affecting their relationship to the organization. Board members may not participate in any private business or personal service with the organization except as procedurally controlled to assure openness, competitive opportunity and equal access to information. If an actual or potential conflict arises, the conflicted individual withdraws from the board deliberation, voting and access to applicable board information all proceedings related to conflicts of interest are documented in the meeting minutes.”
