Form 990, Part VI, Section B, Line 11B

The vp finance and chief operating officer of ewg reviews the federal form 990 with the president of ewg in its draft form and any required revisions are submitted to the external tax team. The final draft federal form 990 is distributed to the board of directors before filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The board of directors of ewg annually reviews the conflict of interest policy (coi) and discloses any potential conflict of interest. All ewg staff and board of directors sign a conflict of interest disclosure statement annually. The signed documents are reviewed by the president and general counsel of ewg and are kept by the vp finance and chief operating officer of ewg. The coi policy is always taken into consideration when there is the potential for conflict, particularly when signing new contracts or beginning new relationships. Any possible appearance of conflict of interest that arises in the course of business is researched to determine the existence of a conflict. If a contract is to be made with a related party, it is disclosed to the board of directors and a vote is taken prior to entering into the contract. If ewg staff members identify a conflict of interest, the general counsel or vp finance and chief operating officer of ewg share this information with the executive committee of the board of directors for its action. Board members are precluded from voting on matters for which a conflict exists.

Form 990, Part VI, Section B, Line 15

Ewg's officers' compensations were determined using a review and approval by independent persons, comparability data, and contemporaneous substantiation of the deliberation and decision. The board of directors of ewg designates a compensation committee of board members to review the president's and the vp finance & coo's compensation. Compensation comparison data is used to determine appropriate compensation levels. External salary surveys are purchased every year to compare like organizations by area of focus, geographic area, and function. Comparable environmental non-profits' federal form 990 are also reviewed for salary information.
