“The board of directors may elect or appoint one or more committees (including but not limited to an executive committee) and may delegate to any such committee or committees any or all of their powers, provided that any committee to which the powers of the directors are delegated shall consist solely of directors. Unless the directors otherwise determine, an executive committee elected by the directors shall have the power to act for the full board of directors on all matters between meetings of the directors except for such matters as may be provided by law or the articles of incorporation.”

“The policy and its application are reviewed annually for the information and guidance of officers, staff members, fellows, and board members, each of whom has a continuing responsibility to (a) scrutinize his or her transactions and outside business interests and relationships for potential conflicts and (b) make such disclosures as described herein. Each new america officer, staff member, and fellow are asked to complete and sign a conflict of interest policy disclosure statement upon his or her employment, and on an annual basis thereafter. Each new america board member is asked to complete and sign such a statement upon his or her election or reelection to the board, and annually thereafter. A member of the operations team monitors compliance with this policy.”

“The president/chief executive officer (ceo)'s compensation is reviewed and determined by the board of directors annually. This process last took place in 2019. New america completes a compensation study which includes the ceo (and other c level salaries) every 2-3 years. The organization is scheduled to begin another compensation study in 2019. Minutes from the executive committee meetings reflect the discussions and decisions, any changes, as well as status updates are reported at, and recorded in the minutes for the main board meeting. All staff salaries are determined by human resources in consultation with the respective program directors and reviewed and approved by the senior leadership team and/or the president/ceo. This process last took place in 2019.”
