Governance Explanations

Form 990, Part VI, Section A, Line 1

The board may from time to time appoint committees, task forces or advisory committees and their members. Those committees that exercise the authority of the board ("board committees") shall consist only of directors and include at least 2 individuals. The creation and appointment of directors to the board committees shall be approved by the affirmative vote of a majority of all directors in office when the action is taken. The executive committee shall consist of the officers of the corporation. A board committee may act with the full authority of the board, except that a board committee shall not: 1. Authorize distributions, 2. Fill vacancies on the board or any other committee, 3. Adopt, amend or repeal the articles of incorporation or these bylaws, 4. Approve a dissolution or merger or a sale of substantially all of the corporation's assets, 5. Approve the corporation's annual budget, 6. Hire or terminate the executive director of the corporation, or 7. Modify the corporation's mission statement.

Compensation for the executive director is determined by the board's executive committee which, according to street law's bylaws, also serves as the compensation committee based on a periodic review of other executive director compensation at similar nonprofit organizations located in the same geographical area as street law. Additionally, in 2013 the board engaged a third party to conduct a complete executive compensation study to ensure the executive director is properly compensated.

Street law added its street law for police & teens program to its national programs program services that was not previously listed on the prior year's 990. This program prepares school resource officers and community police officers to co-teach lessons with a classroom teacher or community educator. It equips officers with the curriculum, teaching strategies, and confidence to be effective instructors of lessons on law, crime, public policy, police procedures, community policing, personal safety, and health. The curriculum's collaborative, dialogue-based approach helps build awareness, respect, empathy, and understanding between police officers and youth.
