Governance Explanations

Form 990, Part VI, Section A, Line 1A

The board may from time to time appoint committees, task forces or advisory committees and their members. Those committees that exercise the authority of the board ("board committees") shall consist only of directors and include at least 2 individuals. The creation and appointment of directors to the board committees shall be approved by the affirmative vote of a majority of all directors in office when the action is taken. The executive committee shall consist of the officers of the corporation. A board committee may act with the full authority of the board, except that a board committee shall not: 1. Authorize distributions, 2. Fill vacancies on the board or any other committee, 3. Adopt, amend or repeal the articles of incorporation or these bylaws, 4. Approve a dissolution or merger or a sale of substantially all of the corporation's assets, 5. Approve the corporation's annual budget, 6. Hire or terminate the executive director of the corporation, or 7. Modify the corporation's mission statement.

Compensation for the chief executive officer is determined by the board's executive committee which, according to street law's bylaws, also serves as the compensation committee based on a periodic review of other ceo compensation at similar nonprofit organizations located in the same geographical area as street law. The compensation committee of the board reviewed and approved the chief executive officer's compensation in september 2020. The last time the chief executive officer reviewed the cfo's compensation was in september 2020.
