Mission

The foundation for rural service, in cooperation with the national telecommunications cooperative association, seeks to sustain and enhance the quality of life throughout rural america by advancing an understanding of rural telecommunications issues.

To inform and educate the public on the telecommunications needs of rural areas.

Governance Explanations

Form 990, Part VI, Section A, Line 1

An executive committee may be appointed by the foundation's board of directors with the authority to manage the affairs of the foundation between meetings of the board. If appointed, the executive committee is comprised of the foundation's officers.

Form 990, Part VI, Section A, Line 4

The foundation's bylaws were amended to reflect the new composition of the board of directors: the foundation's board of directors consists of fifteen directors including the officers, all appointed by the national telecommunications cooperative association (ntca) board: region directors - one director from each of the six ntca regions. Region directors shall be ilec members. At-large directors - four at-large directors who are ilec members all appointed by the ntca board of directors. Associate directors - five at-large director seats specifically designated for associate members of ntca. Ex-officio - the foundation manager, the executive director, and an ntca board liaison serve ex-officio as nonvoting members of the board.

The board does not review the form 990 prior to filing. A copy of the form 990 is reviewed by the foundation manager with the assistance of the chief executive officer, chief financial officer, and director of finance of national telecommunications cooperative association prior to filing. After approval, it is signed by the foundation manager.

Form 990, Part VI, Section B, Line 12C

The foundation's conflict of interest policy applies to all members of the board of directors and any other person who may regularly exercise general authority to make administrative or policy decisions on behalf of the foundation, including the manager and executive director. When a person becomes aware of an actual or potential conflict, they disclose all relevant information to the board chair or vice chair, remove themselves from all discussions of the matter, and remove themselves from all votes on the matter. The board may vote to enter the transaction if it determines that the transaction is in the foundation's best interest. All relevant information is documented in the meeting minutes. If a person violates the foundation's conflict of interest policy, they inform the board chair and the foundation's general counsel, who take appropriate action.
