AT THE MEETING, THE CFO CONDUCTS A DETAILED REVIEW OF THE FORM 990 AND ANSWERS ANY QUESTIONS ASKED. After the meeting, the form 990 is made available to all members of the organization's board of directors for their review and comments. REGULARLY AND CONSISTENTLY MONITORS AND ENFORCES COMPLIANCE WITH ITS CONFLICT OF INTEREST POLICY THROUGH EDUCATION, DISCLOSURE AND INVESTIGATION IN ACCORDANCE WITH ITS CORPORATE COMPLIANCE PROGRAM. OFFICERS, DIRECTORS, BOARD MEMBERS, KEY EMPLOYEES AND NEW EMPLOYEES OF UNITY HEALTH CARE ARE TRAINED ON THE EXISTENCE OF THE CONFLICT OF INTEREST POLICY AS PART OF THEIR TRAINING ON UNITY HEALTH CARE'S STANDARDS OF CONDUCT. EMPLOYEES ARE ALSO TRAINED TO REFER ANY CONCERNS REGARDING A VIOLATION OF THE STANDARDS OF CONDUCT TO UNITY'S CORPORATE COMPLIANCE PROGRAM VIA THE CORPORATE COMPLIANCE HOTLINE OR OTHERWISE. During 2012, Unity-Parkside Property, Inc. (Parkside) was established to participate in the Internal Revenue Service's New Market Tax Credit (NMTC) program in order to finance construction of a new health care facility for a "low-income community" in Washington D.C., as defined under Section 45D(e)(1) of the Internal Revenue Code. Parkside is a non-profit corporation that is exempt from taxation under Section 501(c)(3), which is wholly-controlled by Unity Health Care. Pursuant to the NMTC financing program entered into by Parkside, USB NMTC Fund 2011-3, LLC (the Investor) made a $6,975,150 capital contribution to D.C. Unity Investment Fund, LLC (the CDE) during 2012, which represents a 100% membership interest in the CDE. In addition, during 2012, Unity Health Care made an $18,300,000 loan to the CDE. The CDE then made a capital contribution that qualified as a qualified equity investment (QEI) into City First Capital 30, LLC (sub-CDE) of $24.5 million, thereby obtaining a 99.99% ownership in the sub-CDE. This QEI entitles the Investor, as the 100% member of the CDE to claim up to $24.5 million NMTCs over a seven year period. The sub-CDE had been allocated $24.5 million NMTCs by City First New Markets Fund II, LLC (as allocate with the CDFI Fund of the United States Department of Treasury). The sub-CDE is utilizing $23,765,000 million of the proceeds of the CDE capital contribution to make qualified low-income community investments (QLICI) in and to Parkside, the qualified active-low income community business (QALICB). The QLICI are in the form of a loan, which consists of two tranches, loan A ($18,267,350) and Loan B ($5,497,650), both of which have an annual interest rate of 1.321%.

Excerpt from organizations Audited Financial Statement for the year ended December 31, 2013. "The Center was incorporated as a not-for-profit corporation under the laws of the District of Columbia and is exempt from income taxes under Section 501(c)(3) of the Internal Revenue Code. In addition, the Center is not classified as a private foundation. The Center files a Form 990 (Return of Organization Exempt from Income Taxes) with the Internal Revenue Service. Tax positions taken on the Form 990 are tax positions that may be subject to uncertainty regarding the merits of the position taken or the amount of the position that would ultimately be sustained. Examples of tax positions common to tax-exempt organization are the tax-exempt status of the entity and various positions relative to potential sources of unrelated business taxable income. A tax-exempt organization that has more than $1,000 of gross income from any unrelated business must file the Internal Revenue Service form 990-T. Although management has concluded that the Center did not incur any unrelated business income during its 2012 tax year, the Center has filed the Form 990-T for its 2012 tax year. The Center intends to file a Form 990-T for its 2013 tax year prior to the final extended deadline of November 15, 2014. The benefit of a tax position is recognized in the financial statements in the period during which, based on available evidence, management believes it is more likely than not the tax position will be sustained upon examination, including the resolution of appeals or litigation processes, if any. Tax positions are not offset or aggregated with other positions. Tax positions that meet the "more likely than not" recognition threshold are measured as the largest amount of tax benefit that is more than 50% likely to be realized on settlement with the applicable taxing authority. The portion of the benefits associated with the tax positions taken that exceeds the amount measured as described above is reflected as a liability for unrecognized tax benefits in the balance sheet along with any associated interest and penalties that would be payable to the taxing authorities upon examination. At December 31, 2013 and 2012, there were no unrecognized tax benefits identified or recorded as liabilities."
