Governance Explanations

Form 990, Part VI, Section A, Line 6

The organization has voting members, which are all in the same class. These members are designated by the board of directors based on criteria established in the bylaws and hold a term of 2 years.

Form 990, Part VI, Section A, Line 7A

According to the organization's bylaws, the board of directors is elected by voting members.

Form 990, Part VI, Section B, Line 11B

The 990 is prepared by an independent public accounting firm based on data and schedules provided by the controller, and reviewed by the organization's management team. The 990 is then reviewed and approved by the finance committee. After this approval, the 990 is submitted to the full board prior to filing with the internal revenue service. These various levels of review ensure the information filed is complete, accurate, and in compliance with regulations.

Form 990, Part VI, Section B, Line 12C

The organization's conflict of interest policy is reviewed annually by each member of the board of directors. On an annual basis, each director also completes a disclosure form identifying any relationships, positions or circumstance in which he or she believes could contribute to a conflict. Following full disclosure of a possible conflict of interest, the board of directors shall determine whether a conflict of interest exists, and, if so, the board takes any action deemed necessary to address the conflict and protect the organization's best interests.

Form 990, Part VI, Section B, Line 15

Compensation for the executive director is independently reviewed and based on analysis of comparable data obtained from industry resources, publicly disclosed 990s, and peer organizations. Review and approvals are documented accordingly by the board of directors or delegated committees. A similar procedure is followed for all other officers and key employees. Furthermore, independent consultants are periodically engaged to benchmark executive compensation against relevant labor markets.

Form 990, Part VI, Section C, Line 18

The form 990 is posted on the organization's website. The 990 is also made available, as well as form 1023, upon request in accordance with the u.s. Title 26, subtitle f, chapter 61, subchapter b, section 6104(d)(1)(b).

Form 990, Part VI, Section C, Line 19

Greenpeace inc's organizational documents, code of ethics (which includes conflict of interest policy), annual reports, and related documents are posted on the organization's website. In addition, audited financial statements are posted to the website annually.

Supplemental Narrative

Additional Explanations

Form 990, Part III, Line 3

We launched and concluded our fix democracy campaign in 2016, which aimed to bring attention to the corporate money in politics that is inhibiting the voice of the people when asking their representatives to consider the people's needs over corporate financial gains. This campaign focused on educating the public and coalition building with allies. The climate legacy campaign initiated and concluded in 2016 with the specific goal of inspiring obama to be the most environmentally friendly president in history by signing an arctic protection treaty to restrict any commercial activity in the arctic ocean to activity that is in line with us commitments on climate changes. Before we could launch the campaign fully, president obama had announced such treaty. Two of our divisions, toxics and nuclear, concluded this year. This work, although not a formal division in our us office, is continued through our project work and by the 25 other national/regional office of greenpeace around the world.

Financial Statement Notes

PART X, LINE 2:

The organization is recognized as a tax-exempt organization under section 501(c)(4) of the internal revenue code, and is exempt from income taxes except for taxes on unrelated business activities. No tax expense is reflected in the accompanying financial statements for the years ended december 31, 2016 and 2015, as there were no unrelated business activities. Management evaluated the organization's tax positions and concluded that the organization has taken no uncertain tax positions that qualify for either recognition or disclosure in the accompanying financial statements.

IRS990/Desc0OUTREACH & EDUCATION & ACTIONS CAMPAIGNS: GREENPEACE, INC. FURTHERS ITS MISSION OF PROTECTING THE ENVIRONMENT THROUGH RESEARCH, PUBLIC INFORMATION AND EDUCATION, OUTREACH AND ADVOCACY, AND LITIGATION. IN 2016, GREENPEACE INC USED SEVERAL NOVEL APPROACHES FOR ENGAGING NEW CONSTITUENCIES AND MOBILIZING EVEN MORE PEOPLE OVERALL TO HELP ACHIEVE WINS FOR THE ENVIRONMENT. THESE INCLUDE:1. AFTER WORK AGAINST COAL EXPORT TERMINALS WITH TRIBES AND FIRST NATIONS IN THE PACIFIC NORTHWEST, WE WERE INVITED TO JOIN THE CANOE JOURNEY. CANOE JOURNEYS ARE ONE OF THE LARGEST TRADITIONAL GATHERINGS OF INDIGENOUS PEOPLE ANYWHERE IN THE WORLD, WITH NATIVE PEOPLES TRAVELING FROM HAWAII, JAPAN, MEXICO, NEW ZEALAND, AND SOUTH AMERICA. OUR PARTICIPATION HELPED DEEPEN OUR LEARNING OF COAST SALISH CULTURE, STRENGTHEN OUR COLLABORATIONS TO PROTECT THE OCEAN, AND FIGHT THE DRIVERS AND LOCAL IMPACTS OF CLIMATE CHANGE. THIS SHARED MOMENT IS ONE THAT WILL POSITIVELY RIPPLE FOR YEARS TO COME.2. IN AUGUST, WE HOSTED OUR THIRD UNKOCH CONVERGENCE AND IT WAS OUR BIGGEST YET. THIS YEAR, 36 STUDENT AND ALUMNI LEADERS REPRESENTING 12 CAMPUS COMMUNITIES PARTICIPATED FROM DC, MD, VA, FL, IN, KS, AZ, UT, AND CA. THE FOUR-DAY INTENSIVE PROGRAM GAVE EACH TEAM THE SKILLS, RESOURCES AND SUPPORT NEEDED TO RUN A SUCCESSFUL CAMPAIGN ON THEIR CAMPUS. THE CALIBER AND COMMITMENT THESE LEADERS HAVE FOR THIS CAMPAIGN IS INCREDIBLE. 3. THIS SUMMER, GREENPEACE BUILT A FOREST RESCUE STATION IN ONE OF THE THREATENED MUNDURUKU VILLAGES AND HELPED THE MUNDURUKU DOCUMENT THEIR RIGHTFUL LANDS IN A COMMUNITY MAPPING PROJECT. THE RESCUE STATION RECEIVED MEDIA AND CELEBRITIES SPREAD THE WORD ABOUT THE MUNDURUKU'S DEFENSE OF THEIR WAY OF LIFE.4. TO DATE, OVER 190,000 SUPPORTERS HAVE TAKEN AT LEAST ONE ONLINE ACTION THROUGH THE CLIMATE LEGACY ENGAGEMENT WORK. WE'VE RECRUITED OVER 60,000+ NEW SUPPORTERS THROUGH CLIMATE LEGACY ONLINE EFFORTS (BOTH PAID ACQUISITION AND ORGANIC GROWTH). IN ADDITION, GRASSROOTS ENGAGEMENT AND RECRUITMENT FOR BOEM HEARINGS HAS BEEN CONSISTENTLY HIGH, EVEN IN AREAS WITH A SMALLER GREENPEACE BASE. THROUGH GEO-TARGETED EMAILS AND PAID FACEBOOK ADS LINKING TO GREENWIRE EVENTS, (PLUS MARY SWEETERS, MARY NICHOL'S, AND CAL'S ORGANIZING SKILLS), GREENPEACE HELPED TURN OUT LARGE NUMBERS OF COMMUNITY ATTENDANCE FOR BOEM OFFSHORE DRILLING HEARINGS. OVERALL ON GREENWIRE, WE HAVE ALSO SEEN HIGH ENTHUSIASM FOR LOCAL EVENTS AND ENGAGEMENT OPPORTUNITIES TIED TO THE LARGER NARRATIVE OF KEEP IT IN THE GROUND.5. THE CREATION OF OUR MOVEMENT SUPPORT HUB MARKED THE INVESTMENT IN OUTREACH AND EDUCATION OF MULTIPLE OF INDIVIDUALS AND COMMUNITIES WITH SMALL GRANTS AND TRAININGS.6. VIA OUR FIX DEMOCRACY CAMPAIGN WE COALITION BUILT WITH ORGANIZATIONS WHO BECAME NEW ALLIES FOR US LIKE THAT NAACP, LEADERS FROM THE LABOR RIGHT MOVEMENT AND OTHERS.
