The conflict of interest policy is applicable to board members. The board chairman reviews any conflicts of interest that are identified and determines whether actual conflicts of interest exist. To ensure the theatre operates in accordance with the highest fiduciary standards applicable to non-profit corporations, the board, the compensation committee or another committee appointed by the chair of the board of trustees conduct periodic reviews that include, at a minimum, findings on the following subjects: -whether the theatre's compensation arrangements and benefits are the result of arm's-length bargaining and, based on competent survey information, are reasonable. -whether theatre's arrangements with third parties are properly recorded, reflect reasonable investment criteria or payments for goods and services, further the theatre's purposes and do not result in private incurement, impermissible private benefit or an excess benefit transaction under the code.

The executive and key employee compensation is recommended by the executive compensation committee of the board of trustees based upon comparative data collected from a salary survey conducted by the theatre communications group (tcg), a national service organization for the non-profit theater community. Shakespeare productions and innovative contemporary work, addressing the most urgent questions with scale and audacity. Shakespeare inspires us to see ourselves better. A statue comes to life; a youngest daughter brings down a king; a prince finds wisdom in the skull of a fool. Shakespeare evokes our common humanity with images engraved on our hearts. Across two stagesharman hall and the klein theatreand in hundreds of classrooms across the nation, stc is a learning space where different generations gather, unified by a shared curiosity about our time together on earth and the power of great stories to make a difference. Stc's mission is grounded in four pillars of meaning: theatre, shakespeare, audacity & vitality, and community & empathy. We tell stories that are shakespearean in the deepest sense, even if (and especially when) they are not written by our house dramatist. We create impactful work on and off the stage, aimed at showcasing the common threads that bind us all. Stc presents 5-7 major productions annually, and our academy masters' students present 2-4 smaller-scale productions of shakespeare and other playwrights. The learning department provides classes, camps, and in-school arts education programs, and our active community programs engage groups across the region of all ages. Through these and other activities stc reaches approximately 150,000 audience members and participants each year. There are two theater spaces, both conveniently located downtown. Sidney harman hall was opened in 2007, with a maximum capacity of 761, harman hall offers flexible staging for virtually every kind of performance and stage specifications that are the most technically advanced in the industry. The harman hall stage can be altered to a thrust, end stage or proscenium configuration and boasts a fully trapped floor. The theatre is named for the late dr. Sidney harman, a noted philanthropist and long-time trustee and benefactor of stc. Additionally, the klein theatre offers an audience of up to 437 a classic proscenium stage, making it an intimate space for dramatic theatre, ensemble music, and dance. The theatre is set in a beautifully restored 19th-century building in the heart of washington's lively arts district. The klein is a jewelbeloved by its established audiences for over 30 years. It is named for michael r. Klein, past chairperson of stc. Stc has purchased a new property near our two existing theaters. Following a renovation, it will serve as our new administrative headquarters and will also include larger rehearsal spaces that mimic the footprints of our theatres, an up-to-date costume shop, welcoming spaces for our learning programs.

The theatre's endowment consists of one fund established for support of the performing arts.

PART X, LINE 2:

The theatre is exempt from federal income taxes under section 501(c)(3) of the internal revenue code and applicable district of columbia income tax laws and qualifies for charitable contribution deductions. Gaap provides consistent guidance for the accounting for uncertainty in income taxes recognized in an entity's financial statements and prescribe a threshold of "more likely than not" for recognition of tax positions taken or expected to be taken in a tax return. The theatre performed an evaluation of uncertain tax positions for the fiscal year ended july 31, 2025, and determined that there were no matters that would require recognition in the consolidated financial statements or which may have any effect on its tax-exempt status. As of july 31, 2025, the statute of limitations for fiscal years 2022 through 2025 remains open with the u.s. Federal jurisdiction or the various states and local jurisdictions in which the theatre files tax returns. It is the theatre's policy to recognize interest and/or penalties related to uncertain tax positions, if any, in income tax expense.
