The Shakespeare Theatre is a leading force in presenting and preserving the highest quality classical theatre. The theatre's core mission is to present classic theatre of scope and size in an imaginative, skillful and accessible American style that honors the language and intentions of playwrights while viewing their plays through a 21st century lens.

A draft of Form 990 is reviewed by the Audit Committee of the board. The approved Form 990 is then circulated to the entire board.

Form 990, Part VI, Section B, line 12C

The conflict of interest policy is applicable to board members. The Board Chairman reviews any conflicts of interest that are identified and determines whether actual conflicts of interest exist. To ensure the Theatre operates in accordance with the highest fiduciary standards applicable to non-profit corporations, the Board, the Compensation Committee or another committee appointed by the Chair of the Board of Trustees conduct periodic reviews that include, at a minimum, findings on the following subjects: -Whether the Theatre's compensation arrangements and benefits are the result of arm's-length bargaining and, based on competent survey information, are reasonable. -Whether Theatre's arrangements with third parties are properly recorded, reflect reasonable investment criteria or payments for goods and services, further the Theatre's purposes and do not result in private incurement, impermissible private benefit or an excess benefit transaction under the Code.

Form 990, Part VI, Section B, line 15

The executive and key employee compensation is recommended by the Executive Compensation Committee of the Board of Trustees based upon comparative data collected from a salary survey conducted by the Theatre Communications Group (TCG), a national service organization for the non-profit theater community. The recommendation is then reviewed and approved by the Executive Committee and full board.

The Theatre's endowment consists of one fund established for support of the performing arts.

Part X, Line 2:

The Theatre is exempt from Federal income taxes under Section 501(c)(3) of the Internal Revenue Code and applicable District of Columbia income tax laws and qualifies for charitable contribution deductions. Generally accepted accounting principles in the United States of America provide consistent guidance for the accounting for uncertainty in income taxes recognized in an entity's financial statements and prescribe a threshold of "more likely than not" for recognition of tax positions taken or expected to be taken in a tax return. The Theatre performed an evaluation of uncertain tax positions for the year ended June 30, 2014, and determined that there were no matters that would require recognition in the financial statements or which may have any effect on its tax-exempt status. As of July 31, 2014, the statute of limitations for tax years 2010 through 2013 remains open with the U.S. Federal jurisdiction or the various states and local jurisdictions in which the Theatre files tax returns. It is the Theatre's policy to recognize interest and/or penalties related to uncertain tax positions, if any, in income tax expense.

IRS990/Desc0PERFORMING ARTS PROGRAMS - The Shakespeare Theatre Company (STC)believes that a classical play is defined not only by its poeticlanguage or its influential playwright, but also by the timelessness ofthe themes and questions that it poses to its audience. Part of STC'smission is to make classical theatre accessible to audiences, helpingthem view the stories through a 21st-century lens. The universalthemes of family, love, patriotism and leadership, depicted in STC's mainstage offerings, are relatable by all people and particularlyrelevant to Washington, D.C. contemporary audiences, in light of thecountry's (and the world's political, social and economic realities.)Shakespeare Theatre Company is especially equipped to provide thisprogramming to the D.C. region as the only major theatre in this D.C.metropolitan area devoted to producing a classic repertoire. Fromancient Greece to 20th-Century America, Shakespeare Theatre Companyannually produces six classical plays-both famous and rarely performedworks-that reveal the human dilemma and are accessible to contemporaryaudiences. Over the past 25 years, Shakespeare Theatre Company hasperformed 150 productions including every play in Shakespeare'scanon for more than 2.5 million audience members. The Shakespeare Theatre Company seeks to bring the best of performing arts to D.C. audiences by making its two facilities (774-seat Sidney Harman Hall and 451-seat Lansburgh Theatre) available to a broad spectrum of local, national and international arts companies. During the 2010-2011 Season the Theatre successfully launched the "STC Presents Series" culminating in six varied artistic presentations in the 2013-2014 season. Through the Harman Center for the Arts, STC provides mid-sized theatre space, in downtown D.C., to national tours, local dance festivals and many others. STC is deeply committed to its hometown of Washington, D.C. and has proudly served as a catalyst for revitalization in the Barracks Row/Eastern Market area and the historic Penn Quarter of downtown Washington. Continued collaboration with other major arts and cultural organizations further establishes Shakespeare Theatre Company as a major cultural destination and community resource.Each year, Shakespeare Theatre Company launches its season with theannual Free For All. Since 1991, this signature outreach program haspresented free, full-scale classical theatre productions to over630,000 D.C. area residents. The Free For All is the most successfulcommunity outreach program in STC's 25-year history. The programprovides new and diverse audiences, especially those who mightotherwise be financially unable, with the opportunity to experienceclassical theatre, for free. The Shakespeare Theatre Company developsa Play Guide to accompany the production and distributes it to childrenattending the event. STC's Education Department also provides aStudents for Shakespeare reserved ticket program, for student groupsattending the Free For All.
